Knowledge Definition. “Knowledge of Company” or “Company’s Knowledge” or any other similar knowledge qualification, means to the knowledge, after due inquiry into the subject matter of such representation, warranty or other statement and reasonable investigation, of any of the current officers or directors of the Company, and any other Company employee who has responsibility with respect to the relevant subject matter.
Knowledge Definition. As used in this Agreement, the term “knowledge of the Company” (or similar language) shall mean the knowledge of the executive officers and directors of the Company who are named in the Prospectus, with the assumption that such executive officers and directors shall have made reasonable and diligent inquiry of the matters presented (with reference to what is customary and prudent for the applicable individuals in connection with the discharge by the applicable individuals of their duties as executive officers or directors of the Company).

As used in this Article III, the term "best knowledge" and like phrases shall mean and include (i) actual knowledge and (ii) that knowledge which a prudent business person (including the officers, directors, and key employee) could have obtained in the management of his or her business affairs after making due inquiry and exercising due diligence with respect thereto. In connection therewith, the knowledge (both actual and constructive) of any officer, director, or key employee of the Company shall be imputed to be the knowledge of the Company.

For purposes of this Article 10, the term “Knowledge” means, with respect to a particular fact or other matter, the actual knowledge of (a) Otsuka’s Director of Intellectual Property Department (when used in the context of Otsuka’s Knowledge) or (b) Dr. Kubota (when used in the context of Acucela’s Knowledge) in either case as of the Effective Date, or if any of such individuals could be expected to discover or otherwise become aware of such fact or other matter, after reasonable investigation in the ordinary course of such individual’s employment.

As used in this Agreement, the phrase "to the Company's best knowledge" or any similar phrase when modifying any representation and warranty of the Company means the actual knowledge of those individuals identified in Schedule 5.2(y) hereto and that (i) such person has made appropriate inquiries of the Company's officers and responsible employees; and (ii) nothing has come to the person's attention in the course of such investigation and review or otherwise which would cause such person, in the exercise of due diligence, to believe that such representation and warranty is not true and correct in all material respects.
