Knowledge Transfer. The Provider shall conduct knowledge transfer meetings during the entire life cycle of the Project. These sessions will be either technically oriented or process/functionally oriented. The following sections define the responsibilities of the Provider and the Department. Provider Knowledge Transfer Responsibilities Develop and maintain a Knowledge Transfer Plan as a section of the PMP. Conduct formal reviews and meetings as needed and required. The Disaster Recovery Plan shall, at a minimum, include: Documentation of approved backup arrangements; Formal agreement of all parties; The prioritization of new system components; Arrangements for use of a backup facility; and Periodic testing of the backup procedures/facility. The Provider shall participate in the testing of the disaster recovery process with the Department as documented in the Disaster Recovery Plan prior to operational use of the new system components. Disaster Preparedness Plan The Provider shall, within thirty (30) calendar days of execution of the contract, submit to the Department’s Project Director a Disaster Preparedness Plan which shall consist of provisions for pre-disaster records protection, and an alternative recovery plan that will allow the Provider to continue functioning in compliance with the executed contract in the event of an actual emergency. The Department agrees to respond in writing within thirty (30) calendar days of receipt of the plan accepting, rejecting, or requesting modifications. In the event of an emergency, the Department may exercise oversight authority over the Provider in order to assure implementation of agreed emergency relief provisions. Staffing Requirements The Provider’s Project staff shall consist of the Key Personnel identified below, whom the Department considers to be essential to this Project. Commitments of Key Personnel shall not be changed (other than for illness, serious personal circumstances or separation from service), without prior written approval of the Department. No Key Personnel role shall be vacant for more than fifteen (15) Business Days. Prior to substituting other employees for these Key Personnel roles, the Provider shall notify and obtain written approval from the Department of the proposed substitution as soon as possible, but no less than thirty(30) business days (except pursuant to an event as described above, in which case such notice shall be as soon as possible). Written justification should consist of documentation of the circumstances requiring the changes and a list of the proposed substitutions in sufficient detail to permit evaluation of the impact on the Project. The Department, at its discretion, may agree to accept personnel of equal or superior qualifications in the event that circumstances necessitate the replacement of previously assigned personnel. In addition, the Department reserves the right to reject any proposed team members throughout the duration of the Project. These individuals must arrive at the Project site location by 11 a.m. on Monday and must not leave the Project site location before 3:00 p.m. on Friday, unless an exception is made based upon mutual agreement. Further, the Provider shall not knowingly engage any current or former employee of the Department where such employment conflicts with Section 112.3185, Florida Statute (F.S.) The Provider is responsible for providing the desktop computers, printer access, office supplies, secretarial, and clerical support required by the Provider for the duration of the contract. The Department will provide Virtual Private Network (VPN) access to the Provider’s project resources in order for project activities including design, development, testing, implementation, and warranty to be performed in a timely manner. Remote access will be provided on a 24x7 basis for the Provider throughout the Contract term. Background Investigations All Provider personnel assigned to this Project shall have a background-screening that is equivalent to a Level Two (2) screening standard specified in Section 435.04, F.S., and the Department’s Operating Procedure Number 60-25. The Provider is responsible for the cost of obtaining the screenings. The Department may disclose the results of such screenings only to state employees with a need to know and shall use the results only for the purpose of evaluating the proposed personnel and not for any other purpose.
