Labor Discussions. The Company are not, and nor has it ever been, a party to any agreement, collective bargaining or otherwise, with any party regarding the rates of pay or working conditions of any of the Company’s employees, nor obligated under any agreement to recognize or bargain with any labor organization or union, nor involved in any labor discussions with any unit or group seeking to become the bargaining unit for any of its employees.

Except with respect to the agreements listed in Exhibit 4.15 pursuant to Section 4.15(ii), UNICO is not, and has not, during the past three years, been involved in any labor discussions with any unit or group seeking to become the bargaining unit for any of its employees. With respect to said Agreements, Exhibit 4.15 sets forth a description of the status thereof, including any demands or proposals with respect to the renewal, extension or replacement thereof.
Labor Discussions. Except with respect to the agreements listed in Exhibit 3.15 pursuant to Section 3.15(viii), SI is not, and has not, during the past three years, been involved in any labor discussions with any unit or group seeking to become the bargaining unit for any of its employees. With respect to said Agreements, Exhibit 3.15 sets forth a description of the status thereof, including any demands or proposals with respect to the renewal, extension or replacement thereof.

Except with respect to the agreements listed in Schedule 3.12, NetLive is not, and during the past three years has not been, involved in any labor discussions with any unit or group seeking to become the bargaining unit for any of its employees. With respect to said Agreements, Schedule 3.19 sets forth a description of the status thereof, including any demands or proposals with respect to the renewal, extension or replacement thereof.

Except with respect to the agreements listed in Schedule 3.15 pursuant to Section 3.15(x), MSI is not, or during the past three years has not been, involved in any labor discussions with any unit or group seeking to become the bargaining unit for any of its employees. With respect to said agreements, Schedule 3.15 sets forth a description of the status thereof, including any demands or proposals with respect to the renewal, extension or replacement thereof.
Labor Discussions. Except as set forth on the Disclosure Schedule, STL is not, and during the past five (5) years has not been, involved in any labor discussions with any unit or group seeking to become the bargaining unit for any of its employees.

Except with respect to the agreements listed in the Disclosure Schedule pursuant to Section 2.15 (viii), and otherwise as set forth in the Disclosure Schedule, EDL is not, and during the past five (5) years has not been, involved in any labor discussions with any unit or group seeking to become the bargaining unit for any of its employees. With respect to said agreements, the Disclosure Schedule sets forth a description of the status thereof, including any demands or proposals with respect to the renewal, extension or replacement thereof.

Except with respect to the agreements listed in Schedule 4.16 pursuant to Section 4.16(x), Savant is not, or during the past three years has not been, involved in any labor discussions with any unit or group seeking to become the bargaining unit for any of its employees.
