Common use of Lack of Authority Clause in Contracts

Lack of Authority. No Holder or Member (in its capacity as such) has the authority or power to act for or on behalf of the Company, to do any act that would be binding on the Company or to make any expenditures on behalf of the Company, unless (i) such specific authority has been expressly granted to and not revoked from such Person by the Manager or (ii) such specific authority has been expressly granted to such Person pursuant to this Agreement, and the Holders hereby consent to the exercise by the Manager of the powers conferred on them by law and this Agreement.

Lack of Authority. No Except as otherwise provided in Section 5.5(b) hereof, no Holder or Member (in its capacity as suchsuch (other than through its Representative or as a Representative) has the authority or power to act for or on behalf of the Company, to do any act that would be binding on the Company or to make any expenditures on behalf of the Company. Except as otherwise provided in Section 5.5(b) hereof, unless (i) such specific authority has been expressly granted to and not revoked from such Person by the Manager or (ii) such specific authority has been expressly granted to such Person pursuant to this Agreement, and the Holders hereby consent to the exercise by the Manager Board and the Representatives of the powers conferred on them by law and this Agreement.
