Common use of Lack of Authority Clause in Contracts

Lack of Authority. No Unitholder in his, her, or its capacity as such (other than the members of the Board acting as the Board or an authorized Officer of the LLC) has the authority or power to act for or on behalf of the LLC in any manner, to do any act that would be (or could be construed as) binding on the LLC or to make any expenditures on behalf of the LLC, and the Unitholders hereby consent to the exercise by the Board of the powers conferred on it by law and this Agreement.

Lack of Authority. No Unitholder Member in his, her, or its capacity as such (other than the members of the Board acting as the Board or an authorized Officer of the LLC) has the authority or power to act for or on behalf of the LLC in any manner, to do any act that would be (or could be construed as) binding on the LLC or to make any expenditures on behalf of the LLC, and the Unitholders Members hereby consent to the exercise by the Board Manager of the powers conferred on it by law and this Agreement.

Lack of Authority. No Unitholder in his, her, or its capacity as such (other than the members of the Board acting as the Board or an authorized Officer of the LLC) has the authority or power to act for or on behalf of the LLC in any manner, to do any act that would be (or could be construed as) binding on the LLC or to make any expenditures on behalf of the LLC, and and, subject to Section 5.1(b)(iv), the Unitholders hereby consent to the exercise by the Board of the powers conferred on it by law and this Agreement.

No Unitholder or Member in his, her, or its capacity as such (other than the members of the Board acting as the Board or an authorized Officer of the LLC) has the authority or power to act for or on behalf of the LLC in any mannerHoldings LLC, to bind Holdings LLC or do any act that would be (or could be construed as) binding on the Holdings LLC or to make any expenditures on behalf of Holdings LLC, in each case in any manner or way, unless such specific authority has been expressly granted to and not revoked from such Unitholder or Member by the LLCBoard, and the Unitholders and Members hereby consent to the exercise by the Board of the powers conferred on it by law and this Agreement.
