Common use of Lack of Authority Clause in Contracts

Lack of Authority. Unless delegated such power in accordance with Section 4.5 or as otherwise provided in this Agreement, no Unitholder shall in its capacity as such have the authority or power to act for or on behalf of the Company in any manner, to do any act that would be (or could be construed as) binding on the Company, or to make any expenditures on behalf of the Company, and the 26 Unitholders hereby consent to the exercise by the Board of the powers and rights conferred upon them by law and this Agreement. 5.3
