Lack of Shareholder Approval. In the event that the transactions contemplated hereby are not consummated due to Astrosystems' failure to obtain Shareholder Approval, Sellers shall reimburse Buyer for all legal, accounting and other expenses incurred by Buyer in connection with the preparation and negotiation of this Agreement and the transactions contemplated hereby. Buyer shall use its reasonable efforts to ensure that any such expenses are commercially reasonable. The foregoing shall not be deemed a limitation on the right of Buyer to recover damages for the breach of any provision of this Agreement. 11.4
Lack of Shareholder Approval. The execution and delivery of this Agreement and the issuance of the Common Shares herein contemplated do not require shareholder approval.
