Lawful Assignment; No Consent Required. No Receivable was originated in, or is subject to the laws of, any jurisdiction the laws of which would make unlawful, void or voidable the sale, transfer and assignment of such Receivable and the Other Conveyed Property under this Agreement. For the validity of the sale, transfer and assignment of the Receivables and Other Conveyed Property to the Originator, the Depositor, and the Issuer, no consent by any Dealer, Third-Party Lender or Obligor is required under any agreement or applicable law.

No Related Receivable has been originated in, or is subject to the laws of, any jurisdiction under which the sale, transfer, and assignment of such Related Receivable under this Agreement or the pledge of such Related Receivable under the Indenture or pursuant to transfers of the Notes shall be unlawful, void, or voidable. The Seller has not entered into any agreement with any account debtor that prohibits, restricts or conditions the assignment of any portion of the Related Receivables. For the validity of such sales, transfers, assignments and pledges, no consent by any Dealer, Obligor or any other Person is required under any agreement or applicable law.

No Contract was originated in, or is subject to the laws of, any jurisdiction the laws of which would make unlawful, void or voidable the sale, transfer and assignment of such Contract and the other Transferred Property by the Originator to Seller under the Sale and Contribution Agreement, the sale, transfer and assignment of such Contract and the other Conveyed Property by Seller to Borrower under the Warehouse Lending Agreement or the pledge of the Contracts and the other Collateral by Borrower to Lender pursuant to the Warehouse Lending Agreement or pursuant to transfers of the Notes. For the validity of (x) the sales, transfers and assignments of the Contracts and other Transferred Property to Originator and Seller, respectively, (y) the sale, transfer and assignment of the Contracts and other Conveyed Property to Borrower, and (z) the pledge of the Contracts and the other Collateral by Borrower to Lender, no consent by any Dealer, Third-Party Lender, Obligor or any other Person is required under any agreement or applicable law.

For the validity of the sale, transfer and assignment of the Receivables and Other Purchased Property to New South, the Depositor, and the Trust, no consent by any Dealer or Obligor is required under any agreement or applicable law.

No Contract was originated in, or is subject to the laws of, any jurisdiction the laws of which would make unlawful, void or voidable the sale, transfer and assignment of such Contract and the other Transferred Property by the Originator to Seller under the Sale and Contribution Agreement, the sale, transfer and assignment of such Contract and the other Conveyed Property by Seller to Borrower under the Warehouse Lending Agreement or the pledge of the Contracts and the other Collateral by Borrower to the Agent for the benefit of the Lenders pursuant to the Warehouse Lending Agreement or pursuant to transfers of the Notes. For the validity of (x) the sales, transfers and assignments of the Contracts and other Transferred Property to Originator and Seller, respectively, (y) the sale, transfer and assignment of the Contracts and other Conveyed Property to Borrower, and (z) the pledge of the Contracts and the other Collateral by Borrower to the Agent for the benefit of the Lenders, no consent by any Dealer, Third-Party Lender, Obligor or any other Person is required under any agreement or applicable law.
Lawful Assignment; No Consent Required. No Contract purchased by Crosscheck Capital under this Agreement has been originated in, or is subject to the laws of, any jurisdiction under which the sale, transfer, and assignment of such Contract shall be unlawful, void, or voidable. Provider has not entered into any agreement with any Patient that prohibits, restricts or conditions the assignment of any portion of a Contract purchased by Crosscheck Capital. No notice to or consent by any Patient or other person is required under any agreement or applicable law to render the sale, transfer, assignment or pledge of any Contract sold to Crosscheck Capital valid under this Agreement.
Lawful Assignment; No Consent Required. The Automobile Loan was not originated in, or is subject to the laws of, any jurisdiction the laws of which would make unlawful, void or voidable the sale, transfer and assignment of the Automobile Loan by Sellers to Whole Loan Purchaser.
Lawful Assignment; No Consent Required. No Related Consumer Loan has been originated in, or is subject to the laws of, any jurisdiction the laws of which would make unlawful the sale, transfer and assignment of such Related Consumer Loan under this Agreement. The Seller has not entered into any agreement that prohibits, restricts or conditions the assignment of any portion of the Related Consumer Loans. No consent by any Person is required under any agreement or applicable law for the validity of such sales, transfers and assignments.
