Common use of LEASING MANAGEMENT SERVICES Clause in Contracts

LEASING MANAGEMENT SERVICES. (a) to market the Building or any part or parts thereof for letting or licensing (which for the purpose of this Clause 3 shall include warehouse warrants) purposes and to identify prospective lessees, tenants or licensees being individual or corporation willing to take a lease, tenancy or licence of the Building or any part or parts thereof provided that (i) each such lease, tenancy agreement or licence shall provide that the Owner shall have the right to terminate the same with 12 months’ notice if it resolves to redevelop the Building; and (ii) the grant, renewal and termination of any lease or tenancy for a term extending beyond the expiration date of the Management Term or (if KWHK exercises its right to renew pursuant to Clause 2.2) the Renewed Management Term and the determination of any rent or licence fee thereof shall be subject to the Owner’s prior approval (except for warehouse warrant business which shall be at such tariffs agreed between the Owner and KWHK periodically and from time to time); (b) to conduct negotiations and contract with any person either directly or through property agent(s) for the letting or licensing of the Building or any part or parts thereof and at such rent or licence fee (in accordance with the tariffs to be agreed between the Owner and KWHK periodically and from time to time and/or as approved by the Owner on individual basis, if not in accordance with the tariffs) and subject to such terms and conditions (as may be substantially in the forms of lease, tenancy or licence agreement or other lawful instrument (e.g. warehouse warrant) approved by the Owner) and for that purpose to execute any lease, tenancy or licence agreement and other lawful instruments whatsoever which shall be necessary or proper in connection therewith; (c) to provide the Owner with monthly letting and licensing reports on rent roll, and summaries of new, renewed leases/tenancies/licences, lease/tenancy/licence expiries, arrears and collection for the preceding month and from time to time and such other information as KWHK may consider appropriate or upon the Owner’s request, for the Owner’s information; (d) to prepare statements, demand, collect, receive, give receipts and, if necessary, to sue for rent, licence fees, service charges, management fees and other payments at any time due to the Owner from any lessee, tenant, licensee or other person in respect of the Building or any part or parts thereof and to bank the same promptly; (e) upon non-payment of any rent, licence fee, service charges, management fees or other payment or any part or parts thereof, to enter into and upon the Building or the relevant part or parts thereof and to make or cause to be made one or more distress or distresses and to detain or keep or sell or otherwise dispose of any of the goods chattels or any other effects or things whatsoever distrained in any manner allowed by law for the purpose of enforcing payment or in satisfaction of such rent, licence fee, service charges, management fees or other payment or any part or parts thereof and all costs and expenses of such distress or distresses or to recover such rent, licence fee, service charges, management fees or other payment or any part or parts thereof by action or other legal proceedings; (f) to commence and prosecute or appear in and defend all suits actions and proceedings arising out of or in connection with the letting and licensing of the Building or any part or parts thereof and to consent or submit to or appeal against any judgment or order in any such suit, action or proceedings; (g) to sign and give all notices to lessees, tenants, licensees and occupiers of the Building or any part or parts thereof, including without limitation, notices concerning any defects in the repair or condition of the Building or any part or parts thereof and requiring such lessees, tenants, licensees or occupiers to make good such defects and proper notices to quit to any lessee, tenant, licensee or occupier and to accept and sign all surrenders of leases or tenancy agreements for the surrender of any lease or tenancy and all cancellation agreements for the termination of any licence agreement; (h) to advise on all applications from lessees, tenants or licensees for consents under any leases, tenancy agreements or licence agreements of the Building or any part or parts thereof; (i) to inspect the Building regularly and to ensure compliance by the lessees, tenants, licensees or occupiers with the provisions of all leases, tenancy agreements and licence agreements relating to the Building or any part or parts thereof; (j) to deal directly with the lessees, tenants, licensees or occupiers of the Building or any part or parts thereof and to arbitrate in any dispute between them if required; (k) to represent the Owner and do all such other things as are reasonably incidental to the management, letting or licensing of the Building or any part or parts thereof.
