Legal Details; Counterparts. All legal details and proceedings in connection with the transactions contemplated by this Amendment shall be in form and substance satisfactory to the Agent, the Agent shall have received from the Borrower and the Required Banks an executed original of this Amendment and the Agent shall have received all such other counterpart originals or certified or other copies of such documents and proceedings in connection with such transactions, in form and substance satisfactory to the Agent.

All legal details and proceedings in connection with the transactions contemplated by this Amendment shall be in form and substance satisfactory to the Administrator, and the Administrator shall have received from the Seller, the Issuer, and the Servicer all such other counterpart originals or certified or other copies of such documents and proceedings in connection with such transactions, in form and substance satisfactory to the Administrator.

The Company (on behalf of itself and the other Loan Parties) and the Required Lenders shall have executed and delivered to the Administrative Agent this Amendment and all such other counterpart originals or certified or other copies of such documents and proceedings in connection with this Amendment as may be reasonably requested by the Administrative Agent, in form and substance reasonably satisfactory to the Administrative Agent.

This Amendment may be executed by the parties hereto in any number of separate counterparts, each of which when taken together and duly executed and delivered shall together constitute one and the same instrument.

If an executed original signature page is not delivered on or before the Fourth Amendment Effective Date, the Loan Parties covenant to deliver such original not later than the fifth (5th) Business Day thereafter.

This Amendment shall become effective when it has been executed by the Loan Parties, the Agent and the Required Banks and each of the other conditions set forth in this Section 3 has been satisfied.
Legal Details; Counterparts. All such counterpart originals or certified or other copies of the following documents shall have been executed and delivered to the Administrative Agent, including, but not limited to:
(i) this Amendment duly executed and delivered by the Loan Parties and the Required Lenders;
(ii) the Revolving Credit Notes duly executed and delivered by the Borrowers in favor of each Lender who has requested a Note at least three (3) Business Days before the proposed Effective Date;
(iii) the amended and restated Swing Loan Note duly executed and delivered by the Borrowers in favor of the Swing Loan Lender;
(iv) the Amended and Restated Line of Credit and Investment Sweep Rider duly executed and delivered by the Borrowers and the Swing Loan Lender;
(v) the amended and restated Guaranty Agreement duly executed and delivered by each party thereto;
(vi) the amended and restated U.S. Security Agreement duly executed and delivered by each party thereto;
(vii) the amended and restated U.S. Pledge Agreement duly executed and delivered by each party thereto;
(viii) the amended and restated U.S. IP Security Agreement duly executed and delivered by each party thereto;
(ix) the Canadian Collateral Documents and related documents duly executed and delivered by each party thereto;
(x) the Domestic Intercreditor Agreement duly executed and delivered by each party thereto; and
(xi) the European Intercreditor Agreement duly executed and delivered by each party thereto. each in form and substance reasonably satisfactory to the Administrative Agent.

The Agent shall have received counterparts of this Amendment No. 3 duly executed by the Borrower and the Banks, and the Agent shall have received all such other counterpart originals or certified or other copies of such documents and proceedings in connection with such transactions, in form and substance satisfactory to the Agent. This Amendment No. 3 may be executed by the parties hereto in any number of separate counterparts, each of which when taken together and duly executed and delivered shall together constitute one and the same instrument.
