Legal Fee Reimbursement. In the event that Executive incurs any attorneys’ fees in protecting or enforcing his rights under this Agreement or under any employee benefit plans or programs sponsored by the Company in which Executive is a participant, the Company shall reimburse Executive for such reasonable attorney fees and for any other reasonable expenses related thereto. Such reimbursement shall be made within thirty (30) days following final resolution of the dispute or occurrence giving rise to such fees and expenses provided, however, that no reimbursement shall be made of such expenses to the extent that any of Executive’s litigation assertions or defenses were found to be in bad faith or frivolous.
