Legal Fees; Costs. If either party to this Agreement institutes any action or proceeding to enforce any provision of this Agreement, the prevailing party will be entitled to receive from the other party reasonable attorneys’ fees, disbursements and costs incurred in such action or proceeding, whether or not such action or proceeding is prosecuted to judgment.

Xxxxx County, Nevada will be the sole and exclusive venue for the resolution of any action filed to enforce or interpret this Agreement.

In the event that a legal proceeding (including an arbitration or an appeal) is commenced or brought in relation to the Agreement or any Contract, the prevailing party shall be entitled to recover from the losing party its reasonable legal, and other professional fees, as well as any and all other fees, costs, and expenses of any kind incurred in connection with the proceeding as determined by the judge or arbitrator (as appropriate) in addition to all other amounts provided for by law.

If either party shall be required to bring any action to enforce any provision of this Agreement, or shall be required to defend any action brought by the other party with respect to this Agreement, and in the further event that one party shall substantially prevail in such action, the non-prevailing party shall, in addition to all other payments required therein, pay all of the prevailing party's reasonable costs in connection with such action, including such sums as the court or courts may adjudge reasonable as attorneys' fees in the trial court and in any appellate courts.
Legal Fees; Costs and Expenses In the event of any litigation brought by the Employee to enforce this Agreement after a Change in Control, he shall be entitled to recover his reasonable attorney's fees, costs and expenses incurred to enforce the Agreement if he prevails in the litigation. Any payment due under this Agreement which was not timely made by the Company or by the Employee shall include an award of interest at the Company's then current revolving borrowing rate.
