Legal Fees; Costs. If either party to this Agreement institutes any action or proceeding to enforce any provision of this Agreement, the prevailing party will be entitled to receive from the other party reasonable attorneys’ fees, disbursements and costs incurred in such action or proceeding, whether or not such action or proceeding is prosecuted to judgment.

If either party is required to retain an attorney to bring suit against the other, the prevailing party shall be entitled to recover reasonable attorney’s fees, costs of the action, and prejudgment interest on any amounts found to be due. This contract will be interpreted and enforced according to Nevada law without regard for conflicts of law principles. Xxxxx County, Nevada will be the sole and exclusive venue for the resolution of any action filed to enforce or interpret this Agreement.
Legal Fees; Costs. Except as provided herein, all legal, consulting and advisory fees and other costs and expenses incurred in connection with this Agreement and the Contemplated Transactions are to be paid by the Party incurring such costs and expenses.

Legal Fees; Costs and Expenses In the event of any litigation ------------------------------ brought by the Employee to enforce this Agreement after a Change in Control, he shall be entitled to recover his reasonable attorney's fees, costs and expenses incurred to enforce the Agreement if he prevails in the litigation. Any payment due under this Agreement which was not timely made by the Company or by the Employee shall include an award of interest at the Company's then current revolving borrowing rate.
Legal Fees; Costs. Should any Party breach this Agreement the substantially prevailing, non-breaching Party will be entitled to an award of its costs and reasonable legal fees expended in any action to seek injunctive or other relief based upon the terms of this Agreement.
