Legally Binding Instruments. When this Agreement is executed by the Borrower and the Lender, and when the Note is executed and delivered by the Borrower, each such instrument will constitute the legal, valid, and binding obligation of the company in accordance with its terms. Any security agreements and instruments, financing statements, mortgages and other liens on chattel or real estate will constitute legal, valid and binding liens free and clear of all prior liens and encumbrances except as provided for.
Legally Binding Instruments. When this Agreement is executed by BORROWER and LENDER, and when the Note, Attachment A, is executed and delivered by BORROWER for value, each instrument shall constitute the legal, valid, and binding obligation of BORROWER in accordance with its terms.

Prior to making the Company Loan, the Company shall provide to the Authority an opinion of legal counsel to the Company that the Company Loan Agreement and the Promissory Note each constitute the legal, valid and binding obligation of the Company in accordance with its terms, subject to customary exceptions. Further, the opinion shall provide that the security interest in the Equipment constitutes a legal, valid, and binding lien free and clear of all prior liens and encumbrances, with the exception of the lien securing the CFB Loan and the Lake Country Loan.
