Lei Aplicável, Resolução de Disputas. Este Acordo deve ser interpretado de acordo com e regido pelas xxxx internas do Estado de Delaware, sem dar efeito a qualquer escolha de xxxxx legal que possa causar a aplicação das xxxx de qualquer jurisdição que não seja as xxxx internas do Estado de Delaware aos direitos e deveres das Partes. Qualquer reclamação ou controvérsia decorrente ou relacionada a este Contrato deve ser submetida e resolvida conforme estabelecido nesta Seção. Se qualquer Parte deste Contrato alegar que qualquer outra Parte deste Contrato violou qualquer um dos termos deste Contrato, a Parte que alegou violação informará a outra Parte de tal violação por escrito. Após o recebimento de tal notificação, a Parte supostamente inadimplente terá 30 xxxx para sanar a violação alegada. Se as partes não concordarem que a cura efetiva tenha sido alcançada ao final do período de 30 xxxx, então, mediante solicitação por escrito de qualquer das Partes, um gerente sênior de cada Parte se reunirá pessoalmente em Wilmington, Delaware e conferenciará de boa fé a resolver a disputa em até 15 xxxx após o término do período de 30 xxxx anterior. Se, após o procedimento acima, a disputa permanecer sem solução, qualquer das Partes pode submeter a disputa à American Arbitration Association ("AAA") para arbitragem vinculativa de acordo com as Regras de Arbitragem Comercial da AAA então em vigor, conforme alterado por este Contrato. A lei aplicável à arbitragem, incluindo a administração e execução da mesma, é a Lei de Arbitragem Federal, 9 U.S.C. §§ 1-16, conforme alterado de tempos em tempos. A arbitragem será conduzida em Wilmington, Delaware. O custo da arbitragem, incluindo os honorários e despesas do (s) árbitro (s), será compartilhado igualmente pelas Partes, com cada Parte pagando seus próprios honorários advocatícios.   • UDP DNS resolution RTT Refers to the RTT of the sequence of two packets, the UDP DNS query and the corresponding UDP DNS response. If the RTT is 5 times greater than the time specified in the relevant SLR, the RTT will be considered undefined.

  • Informal Resolution of Disputes 10.5.1 Upon receipt by one Party of notice of a dispute by the other Party pursuant to Section 10.3 or Section 10.4.5, each Party will appoint a knowledgeable, responsible representative to meet and negotiate in good faith to resolve any dispute arising under this Agreement.   • Composition of Board of Arbitration When either party requests that a grievance be submitted to arbitration, the request shall be made by registered mail addressed to the other party of the Agreement, indicating the name of its nominee on an Arbitration Board. Within five (5) days thereafter, the other party shall answer by registered mail indicating the name and address of its appointee to the Arbitration Board. The two appointees shall select an impartial chairperson.

  • Amicable Resolution (a) Save where expressly stated to the contrary in this Agreement, any dispute, difference or controversy of whatever nature between the Parties, howsoever arising under, out of or in relation to this Agreement (the "Dispute") shall in the first instance be attempted to be resolved amicably in accordance with the procedure set forth in Clause 12.1 (b).
