Common use of LESSEE LIABILITY Clause in Contracts

LESSEE LIABILITY. Except as provided in Section 9(c)(ii), Lessee shall pay or cause to be paid when due, and shall indemnify and hold harmless each Tax Indemnitee for, from and against, any and all Taxes howsoever imposed or levied on or asserted against, from time to time, any Tax Indemnitee, Lessee, the Aircraft, Airframe or any Engine or any Parts or any interest therein by any Government Entity on, with respect to, based on or measured by: (A) the acceptance, delivery, redelivery, transport, registration, reregistration, deregistration, possession, operation, location, use, presence, condition, alteration by or on behalf of Lessee, maintenance, repair, return, storage (unless otherwise expressly provided herein), repossession, disposition, abandonment, installation, storage, charter, leasing, subleasing, modification, transfer by or on behalf of Lessee, importation, exportation or other disposition of, or the imposition of any Lien on, the Aircraft, Airframe or any Engine or any Part or interest therein (or the incurrence of any liability to refund or pay over any amount as the result of any such Lien); (B) the rentals or receipts from the Aircraft, Airframe or any Engine or Parts thereof or interest therein; (C) the Aircraft, Airframe or any Engine or any Parts thereof or interest therein (including, without limitation, title or a security interest therein), this Lease, any other Operative Document or any data or any other thing delivered or to be delivered under the Operative Documents; or (D) otherwise with respect to or in connection with the execution, delivery, enforcement, amendment or supplement to the Operative Documents or the transactions contemplated by the Operative Documents.

LESSEE LIABILITY. Except as provided in Section 9(c)(ii), Lessee shall pay or cause to be paid when duepaid, and on written demand shall indemnify and hold harmless each Tax Indemnitee for, from and against, any and all Taxes howsoever imposed or levied on or asserted against, from time to time, any Tax Indemnitee, Lessee, the Aircraft, Airframe or any Engine or any Parts or any interest therein by any Government Entity on, with respect to, based on or measured by: (A) the 1.1 The acceptance, rejection, delivery, redeliveryownership, nondelivery, lease, sublease, charter, transport, subcharter, registration, deregistration, reregistration, deregistrationpossession, possessionrepossession, presence, operation, location, condition, use or non-use, presencecontrol, conditionairworthiness, alteration by or on behalf of Lesseeoverhaul, replacement, existence, storage, preparation, installation, testing, manufacture, design, modification, alteration, maintenance, repair, re-lease, sale, return, storage (unless otherwise expressly provided herein)transfer, repossession, disposition, abandonment, installation, storage, charter, leasing, subleasing, modification, transfer by or on behalf of Lesseeexportation, importation, exportation abandonment or other disposition of, or the imposition of any Lien on, the Aircraft, Airframe or the Airframe, any Engine or engine or Part or any Part other thing delivered under the Lease Agreement or any other Operative Document or interest therein (or the incurrence of any liability to refund or pay over any amount as the result of any such Lien); (B) the rentals 1.2 The rentals, receipts or receipts from earnings from, or other amounts payable by Lessee in connection with, the Aircraft, Airframe or any Engine or Parts thereof or interest therein;. LESSEE LIABILITY. (B) the rentals or receipts from the Aircraft, Airframe or any Engine or Parts thereof or interest therein; (C) the Aircraft, Airframe or any Engine or any Parts thereof or interest therein (including, without limitation, title or a security interest therein), this Lease, any other Operative Document or any data or any other thing delivered or to be delivered under the Operative Documents; or (D) otherwise with respect to or in connection with the execution, delivery, enforcement, amendment or supplement to the Operative Documents or the transactions contemplated by the Operative Documents.

LESSEE LIABILITY. Except as provided in Section 9(c)(ii)2, Lessee shall pay or cause to be paid when duepaid, and on written demand shall indemnify and hold harmless each Tax Indemnitee for, from and against, any and all Taxes howsoever imposed or levied on or asserted against, from time to time, any Tax Indemnitee, Lessee, the Aircraft, Airframe or any Engine or any Parts thereof or any interest therein by any Government Entity on, with respect to, based on or measured by: (A) the acceptance, rejection, delivery, redelivery, nondelivery, transport, ownership, registration, deregistration, reregistration, deregistrationpossession, possessionrepossession, operation, location, use, presence, condition, alteration by or on behalf of Lessee, maintenance, repair, sale, return, storage (unless otherwise expressly provided herein)import, export, repossession, disposition, abandonment, installation, storage, manufacture, charter, leasing, subleasing, modification, transfer by or on behalf of Lesseerebuilding, improvement, importation, exportation or other disposition of, or the imposition of any Lien on, the Aircraft, Airframe or any Engine or any Part or interest therein (or the incurrence of any liability to refund or pay over any amount as the result of any such Lien); (B) the rentals rentals, receipts or receipts earnings from the Aircraft, Airframe or any Engine or Parts thereof or interest therein; (C) the Aircraft, Airframe or any Engine or any Parts thereof or interest therein (including, without limitation, title or a security interest therein), this Lease, any other Operative Document ) or any data or any other thing delivered or to be delivered under the Operative Documents; or (D) otherwise with respect to or in connection with the execution, delivery, enforcement, amendment or supplement to the Operative Documents or the transactions contemplated by the Operative Documents.
