Liabilities for Settlement of Awards. Except as provided for pursuant to Section 3.08, from and after the Effective Time (a) B/E shall be responsible for all Liabilities associated with B/E Equity Awards, including share delivery, registration or other obligations related to the exercise, vesting or settlement of the B/E Equity Awards and (b) KLX shall be responsible for all Liabilities associated with KLX Equity Awards, including any option exercise, share delivery, registration or other obligations related to the exercise, vesting or settlement of the KLX Equity Awards.
Liabilities for Settlement of Awards. Ventas shall be responsible for all Liabilities (and entitled to the tax deduction) associated with awards that relate to Ventas Common Stock following the Effective Time, including without limitation such awards held by Former Employees and SpinCo Group Non-Employee Directors, and SpinCo shall be responsible for all Liabilities (and entitled to the tax deduction) associated with awards that relate to SpinCo Common Stock following the Effective Time. SpinCo shall notify Ventas of the occurrence of any settlement event with respect to Ventas Common Stock-based awards of a SpinCo Group Non-Employee Director as practicable but in no event later than 30 days thereafter and shall promptly provide to Ventas any other relevant information for purposes of such settlement.
Liabilities for Settlement of Awards. Except as provided in Section 13.09 regarding Tax Withholding and Reporting for Equity-Based Awards:
(a) Ralcorp shall be responsible for all Liabilities associated with Ralcorp Options (regardless of the holder of such awards) including any option exercise, share delivery, registration or other obligations related to the exercise of the Ralcorp Options.
(b) Post shall be responsible for all Liabilities associated with Post Options (regardless of the holder of such awards) including any option exercise, share delivery, registration or other obligations related to the exercise of the Post Options.
(c) Ralcorp shall be responsible for all Liabilities associated with Ralcorp SARs (regardless of the holder of such awards) including any stock appreciation right exercise, share delivery, registration or other obligations related to the exercise of the Ralcorp SARs.
(d) Post shall be responsible for all Liabilities associated with Post SARs (regardless of the holder of such awards) including any stock appreciation right exercise, share delivery, registration or other obligations related to the exercise of the Post SARs.
(e) Ralcorp shall be responsible for all Liabilities associated with Ralcorp Restricted Stock including any share delivery, registration or other obligations related to the settlement of the Ralcorp Restricted Stock awards.
(f) Post shall be responsible for all Liabilities associated with Post Restricted Stock including any share delivery, registration or other obligations related to the settlement of the Post Restricted Stock awards.
(g) Ralcorp shall be responsible for all Liabilities associated with Ralcorp RSUs, including any share delivery, registration or other obligations related to the settlement of Ralcorp RSUs.
(h) Post shall be responsible for all Liabilities associated with Post RSUs, including any share delivery, registration or other obligations related to the settlement of the Post RSUs.
Liabilities for Settlement of Awards. From and after the Distribution Date SpinCo shall be responsible for all Liabilities associated with SpinCo Equity Awards, including any option exercise, share delivery, registration or other obligations related to the exercise, vesting or settlement of the SpinCo Equity Awards.
Liabilities for Settlement of Awards. Except as provided for pursuant to Section 4.07, from and after the Distribution (a) New Hertz Holdings (or one or more members of the Hertz Group so designated) shall be responsible for all Liabilities associated with New Hertz Holdings Awards, including any option exercise, share delivery, registration or other obligations related to the exercise, vesting or settlement of the New Hertz Holdings Awards and (b) HERC Holdings shall be responsible for all Liabilities associated with HERC Holdings Awards, including any option exercise, share delivery, registration or other obligations related to the exercise, vesting or settlement of the HERC Holdings Awards.
Liabilities for Settlement of Awards. Except as provided for pursuant to Section 4.9, from and after the Effective Time (a) Oil States shall be responsible for all Liabilities associated with OS Equity Awards, including any option exercise, share delivery, registration or other obligations related to the exercise, vesting or settlement of the OS Equity Awards and (b) Civeo shall be responsible for all Liabilities associated with Civeo Equity Awards, including any option exercise, share delivery, registration or other obligations related to the exercise, vesting or settlement of the Civeo Equity Awards.
Liabilities for Settlement of Awards. Except as provided in Section 13.10 regarding Tax Withholding and Reporting for Equity-Based Awards:

Except as provided for pursuant to Section 4.11, from and after the Effective Time (a) OPC shall be responsible for all Liabilities associated with OPC LTI Awards, including any exercise, share delivery, registration or other obligations related to the exercise, vesting or settlement of the OPC LTI Awards and (b) CRC shall be responsible for all Liabilities associated with CRC LTI Awards, including any exercise, share delivery, registration or other obligations related to the exercise, vesting or settlement of the CRC LTI Awards.
Liabilities for Settlement of Awards. Except as provided above with respect to non-employee directors or in Section 11.05 regarding Tax Withholding and Reporting for Equity-Based Awards:
(a) EPC shall be responsible for all Liabilities associated with EPC RSUs (regardless of the holder of such awards) share delivery, registration or other obligations related to the settlement of the EPC RSUs, as applicable.
(b) EHP shall be responsible for all Liabilities associated with EHP RSUs (regardless of the holder of such awards) including any share delivery, registration or other obligations related to the settlement or exercise of the EHP RSUs, as applicable.
Liabilities for Settlement of Awards. (a) Settlement of COP Options. COP shall be responsible for all Liabilities associated with COP Options (regardless of the holder of such awards) including any option exercise, share delivery, registration or other obligations related to the exercise of the COP Options.
(b) Settlement of Xxxxxxxx 66 Options. Xxxxxxxx 66 shall be responsible for all Liabilities associated with Xxxxxxxx 66 Options (regardless of the holder of such awards) including any option exercise, share delivery, registration or other obligations related to the exercise of the Xxxxxxxx 66 Options.
