Liabilities of Way. There are no liabilities, contingent or otherwise, of Way of any kind whatsoever, including, without limitation, any bonds, debentures, mortgages, promissory notes, loan agreements, inter-company debt, or liabilities for Governmental Charges and there is no basis for assertion against Way of any liabilities of any kind, other than liabilities disclosed or reflected in or provided for Way in the Financial Statements or in this Agreement, or incurred since the date of Way Financial Statements in the ordinary course of the business of Way.
