License Following Expiration. Upon expiration of the royalty term for a Product in the country as described above, Schering shall thereafter have an exclusive (even as to Alliance), paid-up license to Alliance Know-How to make, have made, use, sell, offer for sale, have sold and import that Product in that country. In such event, Schering shall retain responsibility for, and indemnify Alliance from, the payment of all applicable royalties and other obligations owed to a Third Party with respect to the Product.
License Following Expiration. After the Royalty Expiration Date for the Product, Exhale shall thereafter have an exclusive (even as to Schering), paid-up license to Schering Know-how to Develop, and Commercialize the Product in the Field in the Territory as set out in Article II hereof. Furthermore, if Exhale has taken over Manufacture of Product in the Field in the Territory pursuant to Sections 6.3, 6.4 or 6.5 hereof, Exhale shall thereafter have a non-exclusive, paid up license to Schering Know-How to Manufacture the Product.
License Following Expiration. Upon expiration of the Term, CollaGenex shall have (a) an irrevocable, non-exclusive, royalty-free license, with the right to sublicense, to market, advertise, promote, distribute, offer for sale and sell, but not Manufacture, the Products in the Territory, and (b) a non-exclusive, royalty-free license to use the Atrix Marks to market, advertise, promote, distribute and sell the Products, subject to the provisions of Sections 2.02(b) and 2.02(c), which Sections shall survive the expiration of this Agreement. Upon request by CollaGenex, Atrix shall continue to sell the Products to CollaGenex upon terms mutually agreeable to the Parties pursuant to a separate supply agreement to be negotiated in good faith between the Parties.
License Following Expiration. Upon expiration of each of the applicable Royalty Terms in each country in the Territory, Strata shall thereafter have an irrevocable, non-exclusive, royalty-free license in such country, with the right to sublicense, to use, develop, market, advertise, promote, distribute, make, manufacture, have manufactured, offer for sale, sell, export and import the Product for use in the Field in the Territory. Upon request by Strata, Micrologix shall continue to allow Strata to manufacture and sell the Product under the Micrologix Technology pursuant to a separate agreement to be negotiated in good faith between the Parties.
License Following Expiration. Upon expiration of the royalty term ---------------------------- for Licensed Products in the country as described above, CTI shall thereafter have an exclusive (even as to PG-TXL), paid-up license to PG-TXL Know-How to make, have made, use, sell, offer for sale, have sold and import that Licensed Products in that country. In such event, CTI shall retain responsibility for, and indemnify PG-TXL from, the payment of all applicable royalties and other obligations owed to a Third Party with respect to Licensed Products. License Following Expiration. After the Royalty Expiration Date, Schering shall thereafter have an exclusive (even as to Techniclone), paid-up license to Techniclone Know-How to make, have made, use, sell, offer for sale, have sold and import the Antibody and/or Product in that country, PROVIDED, HOWEVER, that if Schering elects not to continue paying royalties as provided herein in subsection (g) below at any time after the Royalty Expiration Date, such license shall be non-exclusive.
License Following Expiration. After expiration of the Royalty Term, Acusphere shall continue to sell the Product to Nycomed upon terms mutually agreeable to the Parties pursuant to a separate supply agreement to be negotiated in good faith between the Parties.
License Following Expiration. Following the Royalty Expiration Date specified in Section 5.1(b) below, and provided that this Agreement has not been terminated by Schering under Section 10.2(a) or by 3DP under Section 10.2(b) or 10.2(c), Schering shall, in each country of the world, have an exclusive (even as to 3DP), paid-up, sub-licensable license under 3DP Know- How to research, develop, make, have made, use, sell and import for sale Licensed Compounds and Licensed Products.
License Following Expiration. After expiration of the Royalty Term, Arius shall retain a non-exclusive fully-paid and royalty-free license under the BEMA Know-How, Improvements made or obtained by, or under the Control of, Arius Two, and Marks to manufacture, use, import, sell and offer for sale Products in the Territory.
License Following Expiration. Upon expiration of the Royalty Term, the license granted to Fujisawa under Article 3 shall thereafter become irrevocable, royalty-free and fully paid up.
