Common use of License for Deliverables Clause in Contracts

License for Deliverables. Upon Customer’s payment of fees due under an applicable SOW, iManage grants Customer a worldwide, perpetual, non-exclusive, non-transferable, royalty-free license to copy, maintain, use and run (as applicable), solely for Customer’s internal business purposes associated with Customer’s use of the Cloud Services and the iManage Software, all documents, work product and other materials (excluding without limitation computer code, algorithms and machine learning models) that are prepared by iManage for Customer pursuant to an applicable SOW (“Deliverables”). iManage retains all ownership rights in the Deliverables.
