Common use of License Grant and Restrictions Clause in Contracts

License Grant and Restrictions. You are granted a personal, limited, non-exclusive, nontransferable license, to electronically access and use the MyFi3600 Service (the “Service”) solely to manage your financial data. In addition to the MyFi3600 Service, the terms "Service" includes any other programs, tools, internet-based services, components and any "updates" (for example, Service maintenance, help content, bug fixes, or maintenance releases, etc.) of the Service if and when they are made available to you by us or by our third party vendors. Certain Service may be accompanied by, and will be subject to, additional terms and conditions. You are not licensed or permitted to do any of the following and you may not allow any third party to do any of the following: (i) access or attempt to access any other systems, programs or data that are not made available for public use; (ii) copy, reproduce, republish, upload, post, transmit, resell or distribute in any way the material from the MyFi360 site; (iii) permit any third party to benefit from the use or functionality of the Service, or any other services provided in connection with them, via a rental, lease, timesharing, service bureau, or other arrangement; (iv) transfer any of the rights granted to you under this license; (v) work around any technical limitations in the Service, use any tool to enable features or functionalities that are otherwise disabled in the Service, or decompile, disassemble, or otherwise reverse engineer the Service except as otherwise permitted by applicable law; (vi) perform or attempt to perform any actions that would interfere with the proper working of the Service or Debit Rewards Offers or any services provided in connection with them, prevent access to or the use of the Service or any or services provided in connection with them by other licensees or members, or impose an unreasonable or disproportionately large load on the infrastructure while using the Service; or (vii) otherwise use the Service, or any services provided in connection with them except as expressly allowed under this Section

In addition to the MyFi3600 ServiceMX, the terms "Service" includes and "Debit Rewards Offers" also include any other programs, tools, internet-based services, components components, and any "updates" (for example, Service maintenance, help content, bug fixes, or maintenance releases, etc.) of the Service if and when they are made available to you by us or by our third party vendors. Certain Service Services may be accompanied by, and will be subject to, additional terms and conditions. You are not licensed or permitted to do any of the following and you may not allow any third party to do any of the following: (i) access or attempt to access any other systems, programs or data that are not made available for public use; (ii) copy, reproduce, republish, upload, post, transmit, resell or distribute in any way the material from the MyFi360 MX site; (iii) permit any third party to benefit from the use or functionality of the Service, or any other services provided in connection with themthe Service, via a rental, lease, timesharing, service bureau, or other arrangement; (iv) transfer any of the rights granted to you under this license; (v) work around any technical limitations in the Service, use any tool to enable features or functionalities that are otherwise disabled in the Service, or decompile, disassemble, or otherwise reverse engineer the Service except as otherwise permitted by applicable law; (vi) perform or attempt to perform any actions that would interfere with the proper working of the Service or Debit Rewards Offers or any services provided in connection with themthe Service, prevent access to or the use of the Service Service, Debit Rewards Offers or any or services provided in connection with them by other licensees or memberscustomers, or impose an unreasonable or disproportionately large load on the infrastructure while using the Service; or (vii) otherwise use the Service, or any services provided in connection with them except as expressly allowed under this SectionSection 1.

Subject to the terms and conditions of this Agreement, including the payment of the applicable subscription fees, Developer grants You are granted a personallimited, limitednon- exclusive, non-exclusivetransferable license, nontransferable licenseduring the initial term of the subscription and any Renewal Term (as defined in Section 4), to electronically access and use the MyFi3600 Service (Software for which the “Service”) solely to manage your financial dataapplicable fee has been paid by You. In addition to the MyFi3600 ServiceHEALTHY HOME MANAGER software, the terms "Service" term Software includes any other programs, derivatives, tools, internet-based services, components and any "updates" updates (for example, Service Software maintenance, changes to the application, service information, help content, bug fixes, or maintenance releases, releases etc.) of the Service if and when they are made Software that Developer provides or makes available to you by us or by our third party vendors. Certain Service may be accompanied by, and will be subject to, additional terms and conditionsYou. You are not licensed or permitted under this Agreement to do any of the following and you may shall not allow any third party registered user to do any of the following: (i) access or attempt to access any other Developer systems, programs or data that are not made available for public use; (ii) copy, reproduce, republish, upload, post, transmit, resell or distribute in any way the material software from the MyFi360 HEALTHY HOME MANAGER site; (iii) permit any third party to benefit from the use or functionality of the Service, or any other services provided in connection with them, Software via a rental, lease, timesharing, service bureau, or other arrangementarrangement except as agreed to in writing by Developer; (iv) transfer any of the rights granted to you You under this licenseAgreement; (v) work around any technical limitations in the ServiceSoftware, use any tool to enable features or functionalities that are otherwise disabled in the ServiceSoftware, or decompile, disassemble, or otherwise reverse engineer the Service Software except as otherwise permitted by applicable law; (vi) perform or attempt to perform any actions that would interfere with the proper working of the Service or Debit Rewards Offers or any services provided in connection with themSoftware, prevent access to or the use of the Service or any or services provided in connection with them Software by Developer’s other licensees or memberscustomers, or impose an unreasonable or disproportionately large load on the infrastructure while using the ServiceDeveloper’s infrastructure; or (vii) otherwise use the Service, or any services provided in connection with them Software except as expressly allowed under this SectionSection 2.

In addition to the MyFi3600 Serviceaddition, the terms "Service" includes eBank Services include any other programs, tools, internetInternet-based services, components and any "updates" (for example, Service maintenance, help content, bug fixes, or maintenance releases, etc.) of the Service eBank Services if and when they are made available to you by us or by our third third-party vendors. Certain Service eBank Services may be accompanied by, and will be subject to, additional terms and conditions. You are not licensed or permitted to do any of the following and you may not allow any third party to do any of the following: (i) access or attempt to access any other systems, programs or data that are not made available for public use; (ii) copy, reproduce, republish, upload, post, transmit, resell resell, or distribute in any way the material from the MyFi360 siteeBank Services; (iii) permit any third party to benefit from the use or functionality of the ServiceeBank Services, or any other services or features provided in connection with them, via a rental, lease, timesharing, service bureau, or other arrangement; (iv) transfer any of the rights granted to you under this license; (v) work around workaround any technical limitations in the ServiceeBank Services, use any tool to enable features or functionalities that are otherwise disabled in the ServiceeBank Services, or decompile, disassemble, disassemble or otherwise reverse engineer the Service eBank Services except as otherwise permitted by applicable law; (vi) perform or attempt to perform any actions that would interfere with the proper working of the Service or Debit Rewards Offers or any services provided in connection with themeBank Services, prevent access to or the use of the Service or any or services provided in connection with them eBank Services by other licensees or members, customers,or impose an unreasonable or disproportionately large load on the infrastructure while using the ServiceeBank Services; or (vii) otherwise use the Service, or any services provided in connection with them eBank Services except as expressly allowed under this Sectionhereunder.

Certain Service Services may be accompanied by, and will be subject to, additional terms and conditions. You are not licensed or permitted to do any of the following and you may not allow any third party to do any of the following: (i) access or attempt to access any other systems, programs or data that are not made available for public use; (ii) copy, reproduce, republish, upload, post, transmit, resell or distribute in any way the material from the MyFi360 Personal Finance Manager site; (iii) permit any third party to benefit from the use or functionality of the Service, or any other services provided in connection with themPFM, via a rental, lease, timesharing, service bureau, or other arrangement; (iv) transfer any of the rights granted to you under this license; (v) work around any technical limitations in the Service, use any tool to enable features or functionalities that are otherwise disabled in the Service, or decompile, disassemble, or otherwise reverse engineer the Service except as otherwise permitted by applicable law; (vi) perform or attempt to perform any actions that would interfere with the proper working of the Service or Debit Rewards Offers or any services provided in connection with themthe PFM, prevent access to or the use of the Service or any or services provided in connection with them the PFM by other licensees or memberscustomers, or impose an unreasonable or disproportionately large load on the infrastructure while using the Service; or (vii) otherwise use the Service, Service or any services provided in connection with them the PFM except as expressly allowed under this SectionSection 1.
