License Grants and Support a. In accordance with the terms and conditions of this XXXX (and further on the condition precedent of full payment in the case of any SOFTWARE PRODUCT requiring a paid-for license), LICENSOR grants LICENSEE the rights as outlined in Schedule A attached hereto. b. Nothing in this XXXX grants LICENSEE any rights to (i) modify, translate, or otherwise create derivative works for the Software Product, (ii) publish, otherwise make available, or provide access to the Software Product or its contents to any third party, or (iii) reverse engineer, disassemble, decompile, or do anything other than as specifically permitted herein for a Software Product or otherwise permitted by the copyright laws. LICENSOR reserves all of its rights, in law and equity, to its Intellectual Property Rights and other rights, title and interest in and to the Software Products. The restrictions of this Section 2(b) shall survive the termination or expiration of this XXXX. c. Schedule B attached hereto describes any support policies that may be in effect for a Software Product and also support options that may be purchased by LICENSEE. d. LICENSOR may from time to time make available without charge such patches, fixes, or other changes for a Software Product, but LICENSOR shall have no obligation at any time to do so. Further, it shall be in LICENSOR’s sole discretion to determine whether any releases shall be made available without additional charge as “updates” or whether a release is substantial enough to be released as a new version or upgrade. YOU are not obligated to purchase any updates or upgrades that may later be offered for sale by LICENSOR. e. The purchase prices for licenses to Software Products shall be the prevalent ones at the date of LICENSEE’s purchase. Software Products and license prices are posted at LICENSOR’s Website at xxxx://xxx.xxxxxx.xxx/; provided however, if any price is posted in error, any purchase must be based on LICENSOR’s actual price, not any price erroneously posted on the Website. Current prices may be obtained from LICENSOR’s sale office.

  • Vendor’s Specific Warranties, Terms, and License Agreements Because TIPS serves public entities and non-profits throughout the nation all of which are subject to specific laws and policies of their jurisdiction, as a matter of standard practice, TIPS does not typically accept a Vendor’s specific “Sale Terms” (warranties, license agreements, master agreements, terms and conditions, etc.) on behalf of all TIPS Members. TIPS may permit Vendor to attach those to this Agreement to display to interested customers what terms may apply to their Supplemental Agreement with Vendor (if submitted by Vendor for that purpose). However, unless this term of the Agreement is negotiated and modified to state otherwise, those specific Sale Terms are not accepted by TIPS on behalf of all TIPS Members and each Member may choose whether to accept, negotiate, or reject those specific Sale Terms, which must be reflected in a separate agreement between Vendor and the Member in order to be effective.

  • Customer Warranties Customer warrants that (i) if an entity, it is duly organized and validly existing in good standing; (ii) it is duly authorized to execute, deliver, and perform its obligations under this Agreement; (iii) when duly executed and delivered by each Party, the Agreement will constitute Customer’s legal, valid, and binding obligation, enforceable against it in accordance with its terms; (iv) it is not insolvent and is paying all of its debts as they become due; (v) any payments made pursuant to the Agreement are intended by it to be a substantially contemporaneous exchange for new value given to it; (vi) each payment made of a debt incurred by it under this Agreement is or was in the ordinary course of its business or financial affairs, and (vii) all information supplied by Customer is complete and accurate.

  • Licensee’s Representations and Warranties LICENSEE represents and warrants that: (a) it is a duly organized and validly existing corporation and has full authority to enter into this Agreement and to carry out the provisions hereof, (b) the execution, delivery and performance of this Agreement by LICENSEE does not conflict with any agreement or understanding to which LICENSEE may be bound, and (c) excluding the Intellectual Property Rights, LICENSEE is either (i) the sole owner of all right, title and interest in and to the trademarks, copyrights and all other Proprietary Rights incorporated into the Game or the Artwork or used in the development, advertising, marketing and sale of the Licensed Products or the Marketing Materials, or (ii) the holder of such rights, including trademarks, copyrights and all other Proprietary Rights which belong to any third party but have been licensed from such third party by LICENSEE, as are necessary for incorporation into the Game or the Artwork or as are used in the development, advertising, marketing and sale of the Licensed Products or the Marketing Materials under this Agreement.

  • Supplier Warranties The warranties made by Supplier with respect to each Product are solely those that are contained in the product insert accompanying such Product. No other affirmation of fact or promise made by Distributor or its Suppliers, whether or not in this Agreement, by words or action shall constitute a warranty. The foregoing warranty does not extend to any Product that is modified or altered, or treated with abuse, negligence or other improper treatment. Standard Limited Warranty. Distributor shall pass on to Subdistributor so that it may pass on to the customers the Supplier’s standard limited warranty for Products, including limitations set for in subsection (b) Limitation of Liability and Warranty below. Except for the stated warranty set forth on, or included with, the Products as delivered to the Subdistributor and /or its customers, the warranty and remedy set forth in this 0 are exclusive and all other warranties, guarantees or representations, express or implied, by Distributor’s Suppliers with respect to the applicable Products, including, without limitation, warranties of merchantability and fitness for particular purpose, and any other obligation or liability of Distributor and its Suppliers to Subdistributor or to any third party with respect to the Products, are hereby excluded. This warranty is contingent upon proper use of a Product in the application for which such Product was intended and does not cover Products that were modified without Distributor or its Supplier’s prior written approval, that have expired or that were subjected to physical, chemical or electrical stress that the products were not originally designed for.

  • Contractor Representations and Warranties Contractor makes each of the following representations and warranties as of the effective date of this Contract and at the time any order is placed pursuant to this Contract. If, at the time of any such order, Contractor cannot make such representations and warranties, Contractor shall not process any orders and shall, within three (3) business days notify Enterprise Services, in writing, of such breach.
