License to Genentech. Corvus hereby grants to Genentech a non-exclusive, [***], sublicensable (as described in Section 6.2(c)) license, under Corvus’ right, title and interest in and to [***], solely for the purpose of performing [***] for use in the Combination.

IMMUNOGEN hereby grants to GENENTECH an exclusive (even as to IMMUNOGEN) royalty-bearing license within the Territory, including the right to grant sublicenses as described in Section 2.2 below, under the Licensed Patent Rights and Licensed Technology, to Develop, have Developed, make, have made, use, have used, sell, have sold, offer for sale, import, have imported, export and have exported Licensed Products in the Field in the Territory, subject to the other terms and conditions of this Agreement. Portions of this Exhibit were omitted and have been filed separately with the Secretary of the Commission pursuant to the Company’s application requesting confidential treatment under Rule 24b-2 of the Securities Exchange Act of 1934.

Syndax hereby grants to Genentech a non-exclusive, worldwide, fully paid, perpetual, sublicensable (as described in Section 6.2(c)) license, under Syndax’s right, title and interest in and to the Syndax Owned Inventions, solely for the purpose of performing research, development and/or commercialization of the Genentech Compound for use in the Combination.

Subject to the terms and conditions of this Agreement, ROCHE hereby grants, and shall cause Xxxxxxxx-Xx Xxxxx, Inc. to grant, to GENENTECH in the United States, a perpetual royalty-free, nonexclusive right and license under ROCHE's Patents and Know-How, to register, make, have made, use, sell and market (including the right to promote) in the United States
License to Genentech. Xenon hereby grants to Genentech, to the extent not exclusively licensed to Genentech under the Agreement (in which case the Agreement terms shall prevail):

License to Genentech. (a) Array Existing IP (Compounds and Licensed Products). Array hereby grants to Genentech a royalty-bearing, exclusive (even as to Array), sublicensable (in accordance with Section 4.1(d)) license, under the Array Existing IP, to make, use, offer for sale, sell and import Compounds and Licensed Products in the Field in the Territory.
License to Genentech. Subject to the other terms of this Agreement and upon the Closing Date, OSI hereby grants to Genentech a ** nontransferable (except pursuant to Section 17.1), non-sublicensable (except pursuant to Section 8.4), co-exclusive license under the OSI Patents and OSI Know-how to use, sell, offer for sale and import Licensed Products in the Field in the Territory. Such license shall be co-exclusive with OSI in the Territory.
