Common use of Licensee Clause in Contracts

Licensee. Licensee represents and warrants that: (i) it has the full right and authority to enter into this Agreement, (ii) to its knowledge, there are no existing or threatened actions, suits or claims pending with respect to the subject matter hereof or the right of Licensee to enter into and perform its obligations under this Agreement; and (iii) it has not entered and during the term of this Agreement will not enter any other agreement inconsistent or in conflict with this Agreement.

Licensee. Licensee. The Licensee represents and warrants that: (i) it has the full right power and authority to enter into this Agreement,; and (ii) to its knowledgeit shall not delegate, there are no existing assign or threatened actions, suits otherwise arrange for the provision of all or claims pending with respect to the subject matter hereof or the right of Licensee to enter into and perform its obligations under this Agreement; and (iii) it has not entered and during the term part of this Agreement will not enter any other agreement inconsistent to be assigned to or in conflict with this Agreementgranted to an Affiliate without the Affiliate agreeing to abide by all of the terms hereunder.

Licensee. Licensee represents and warrants that: (i) that it has the full right right, power, and authority to enter into this Agreement, (ii) Agreement and to its knowledge, there are no existing or threatened actions, suits or claims pending with respect to the subject matter hereof or the right perform all of Licensee to enter into and perform its obligations hereunder. Licensee shall not assert as a defense in any action brought under this Agreement; and (iii) it has not entered and during the term of Agreement any claim that this Agreement will not enter is unenforceable or invalidated by any other agreement inconsistent or in conflict with this Agreementapplicable law.
