Licensee Data. Licensee acknowledges and agrees that Licensee will be solely responsible for backing-up, and taking all appropriate measures to protect and secure, Licensee Data. Licensee acknowledges that Nuix may make, store and maintain back up copies of Licensee Data, but is not obliged to do so. Nuix will not be liable for any loss or corruption of Licensee Data.

Licensee Data. Licensee retains all ownership and intellectual property rights in and to Licensee’s content, information and data (“Licensee Data”).
Licensee Data. CUSI acknowledges that, as between CUSI and Licensee, Licensee owns all right, title, and interest, including all intellectual property rights, in and to the Licensee Data. Licensee hereby grants to CUSI a non-exclusive, royalty-free, worldwide license to reproduce, distribute, and otherwise use and display the Licensee Data and perform all acts with respect to the Licensee Data as may be necessary for CUSI to provide the CWP Services to Licensee, and a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to reproduce, distribute, modify, and otherwise use and display Licensee Data incorporated within the Aggregated Statistics.
Licensee Data. Licensee shall maintain and enforce technical and organizational safeguards against accidental, unlawful or unauthorized access to or use of the Software that ensures a level of security appropriate to the risks presented by the use of any software that handles sensitive data, consistent with best industry practice and standards. Licensee shall take all reasonable measures to prevent unauthorized users from having access to Licensee Data, Licensee’s servers or network communications. Licensee acknowledges and agrees that Licensee will be solely responsible for backing-up, and taking all appropriate measures to protect and secure, Licensee Data. Nuix will not be liable for any loss or corruption of Licensee Data.
Licensee Data. In connection with Schrödinger’s provision of the Software, it may be necessary for Schrödinger to obtain, receive, or collect Licensee Data. In such cases, Licensee grants Schrödinger a non-exclusive, worldwide, royalty-free, non-revocable license to use, compile, distribute, display, store, process, or reproduce Licensee’s Data solely to facilitate Schrödinger’s provision of the Software to Licensee. Licensee also grants Schrödinger the right to copy, monitor and maintain such Licensee Data during the Term for backup purposes and to facilitate providing Licensee with the Software. Additionally, Schrödinger may collect and store analytic data based on Licensee’s use of the Software (e.g., application response times, sequence of how Users interact with the Software, etc.) in an anonymous manner not attributable to Licensee specifically. Licensee also grants Schrödinger the right to monitor and to use such data in connection with its internal business purposes (including, without limitation, maintaining and improving the Software). Licensee represents and warrants that Licensee has obtained all rights, permissions, and consents necessary to use and transfer the Licensee Data within and outside of the country in which Licensee is located in conjunction with Schrödinger’s provision of the Software or Licensee’s use of the Software.
Licensee Data. All data stored or managed by means of the Software, including the results of data analysis embodied in the Dashboards and any other reports and outputs generated from the Software, is “Licensee Data.” Licensee Data will be imported from different source systems that Licensee uses (such as XxxxxXxxxx.xxx, Oracle, MS SQL etc.) and may need further transformation such as defining of relationships between tables that come from different databases. Licensee is required to have legal access to all Licensee Data. Licensee is required to comply with data protection laws and regulations and with the terms and conditions regarding the different source systems that Licensee uses. Under no circumstances will Licensor be liable for any destruction or corruption of or damage to Licensee Data or any data that is transferred or used by Licensee by means of the Software. Except for express obligations of Licensor as part of the Sisense Cloud, which are applicable only if Sisense Cloud is purchased by Licensee, it is explicitly agreed that all Licensee Data shall always reside on Licensee’s own servers and systems and Licensee is solely responsible for back up of Licensee Data. As between Licensor and Licensee, all Licensee Data is deemed Licensee’s property.
Licensee Data. 8.1 Upon the client’s written request, SCPDC agrees to provide all hosted client data to the client electronically once a calendar year in either the existing database format or CSV format. Upon Licensee request, these transfers can be automated to take place on a regular schedule. SCPDC will not be held liable if technical issues disrupt the automatic scheduling of a data transfer. SCPDC will take all reasonable care to safeguard and protect the Licensee’s data. Licensee expressly agrees to maintain on its site and under its care a current copy of Licensee’s permitting data.

Licensee Data. 18.1 The Licensee shall own all right, title and interest in and to all of the Licensee Data and shall have sole responsibility for the legality, reliability, integrity, accuracy and quality of the Licensee Data 18.2 The Licensor shall follow its back up procedures for Licensee Data as set out in its Software Service Description for the STREAM Saas available from the Licensor. In the event of any loss or damage to Licensee Data, the Licensee's sole and exclusive remedy shall be for the Licensor to use reasonable commercial endeavours to restore the lost or damaged Licensee Data from the latest back-up of such Licensee Data maintained by the Licensor in accordance with the back up procedure described in its Software Service Description for the STREAM Saas. The Licensor shall not be responsible for any loss, destruction, alteration or disclosure of Licensee Data caused by any third party (except those third parties sub- contracted by the Licensor to perform services related to Licensee Data maintenance and back-up). 18.3 The Licensor shall, in providing the Services, comply with its Software Service Description for the STREAM Saas relating to the privacy and security of the Licensee Data available from the Licensor, as such document may be amended from time to time by the Licensor in its sole discretion. 18.4 Each party shall comply with Data Protection Legislation and where the Licensor processes any Personal Data on the Licensee’s behalf when performing its obligations under this agreement, the parties record their intention that the Licensee shall be the Controller and the Licensor shall be a Processor and in any such case: 18.4.1 the Licensee shall ensure that the Licensee is entitled to transfer the relevant Personal Data to the Licensor so that the Licensor may lawfully use, process and transfer the Personal Data in accordance with this agreement on the Licensee’s behalf; 18.4.2 the Licensee shall ensure that the relevant third parties have been informed of, and have given their consent to, such use, processing, and transfer as required by all applicable Data Protection Legislation; 18.4.3 the Licensor shall assist the Licensee in the preparation of any Data Protection Impact Assessment required by the Data Protection Legislation prior to commencing any processing; 18.4.4 the Licensor shall notify the Licensee immediately if it considers that any of the Licensees instructions infringe the Data Protection Legislation; 18.4.5 each party shall take approp...

Notwithstanding the foregoing, CUSI shall have no obligation to store, maintain, or provide back-ups of Licensee Data unless agreed to by the parties in a separate professional services agreement, Sales Agreement, or other written agreement between Licensee and CUSI.
