Licensees and Lessees. Licensees and Lessees are granted certain rights as against perfected security interests. Under a non-exclusive license, a Licensee in the ordinary course of business takes free from the Licensor’s security interest in a general intangible even if the security interest is perfected and the Licensee knows about the security interest. Important to remember here is that a Licensee in the “ordinary course of business” is defined to be a person who becomes a Licensee of a general intangible without knowledge that the license violates the rights of another person in the general intangible and who receives the license from a person in the business of licensing general intangibles of the kind licensed. It is also required that the license comport with the customary practice for the granting of such licenses or the Licensor’s usual practice in granting such licenses. Thus, a Licensee who knows that the conveyance of the license would violate a secured creditor’s rights, does not take free of the security interest. Similarly, a “good deal” license or “sweetheart” license may also result in the Licensee taking subject to a security interest because the license does not comport with customary practices. In representing a Licensee, the practitioner is well advised to assume that a Licensor’s granting of a non-exclusive license in a general intangible will violate the security interest and should require that the secured creditor authorize the license transaction. Like Licensees, Lessees in the ordinary course of business take their leaseholds free of a perfected security interest in goods even if the Lessee knows of the existence of the security interest.   • Licensor any Person from whom a Grantor obtains the right to use any Intellectual Property. Lien: any Person’s interest in Property securing an obligation owed to, or a claim by, such Person, whether such interest is based on common law, statute or contract, including liens, security interests, pledges, hypothecations, statutory trusts, reservations, exceptions, encroachments, easements, rights-of-way, covenants, conditions, restrictions, leases, and other title exceptions and encumbrances affecting Property. Lien Waiver: an agreement, in form and substance satisfactory to Collateral Agent, by which (a) for any material Collateral located on leased premises, the lessor waives or subordinates any Lien it may have on the Collateral, and agrees to permit Collateral Agent to enter upon the premises and remove the Collateral or to use the premises to store or dispose of the Collateral; (b) for any Collateral held by a warehouseman, processor, shipper, customs broker or freight forwarder, such Person waives or subordinates any Lien it may have on the Collateral, agrees to hold any Documents in its possession relating to the Collateral as agent for Collateral Agent, and agrees to deliver the Collateral to Collateral Agent upon request; (c) for any Collateral held by a repairman, mechanic or bailee, such Person acknowledges Collateral Agent’s Lien, waives or subordinates any Lien it may have on the Collateral, and agrees to deliver the Collateral to Collateral Agent upon request; and (d) for any Collateral subject to a Licensor’s Intellectual Property rights, the Licensor grants to Collateral Agent the right, vis-à-vis such Licensor, to enforce Collateral Agent’s Liens with respect to the Collateral, including the right to dispose of it with the benefit of the Intellectual Property, whether or not a default exists under any applicable License.

  • Sublicensees Licensee shall have the full right (but not the obligation) to sublicense those rights granted to it under Section 2.1 to a Third Party (a “Sublicensee”); provided, however, that, prior to the payment of the first milestone pursuant to Section 7.2, Licensee may not grant any such sublicense to any contract research organization conducting Clinical Trials of Products or any Third Parties conducting contract Manufacturing activities without Licensee’s prior written notice (at least twenty (20) Business Days in advance) to Lilly, which shall include a description of the rights to be granted and the purpose therefor, the identity of the Third Party and the countries involved, and Lilly’s prior written consent, but such consent shall only be required (i) until such time as Licensee is the holder of record for the Regulatory Materials related to Taladegib and (ii) to the extent such organization is not performing services for Licensee as of the Effective Date; and provided further, that Licensee shall remain responsible for the performance by any of its Sublicensees. With respect to any Sublicensee granted a sublicense to any Commercialization rights hereunder, Licensee shall ensure that each of its Sublicensees accepts in writing all applicable terms and conditions of this Agreement, including the non-compete, reporting, audit, inspection and confidentiality provisions hereunder. Each Sublicensee shall also be prohibited from further sublicensing. For the avoidance of doubt, (a) Licensee will remain directly responsible for all amounts owed to Lilly under this Agreement, and (b) each Sublicensee is subject to the negative and restrictive covenants set forth in Sections 2.3.1 and 2.5, respectively. Licensee hereby expressly waives any requirement that Lilly exhaust any right, power or remedy, or proceed against a subcontractor, for any obligation or performance hereunder prior to proceeding directly against Licensee.

  • Restricted Use by Licensee Except as expressly authorized by the terms of license, Licensee shall not: (i) Copy the Product; (ii) Cause or permit reverse compilation or reverse assembly of all or any portion of the Product; (iii) Export the Licensed Software in violation of any U.S. Department of Commerce export administration regulations.

  • Contractors All LAUSD Contractors and their Representatives are expected to conduct any and all business affiliated with LAUSD in an ethical and responsible manner that fosters integrity and public confidence. A “Contractor” is any individual, organization, corporation, sole proprietorship, partnership, nonprofit, joint venture, association, or any combination thereof that is pursuing or conducting business with and/or on behalf of LAUSD, including, without limitation, consultants, suppliers, manufacturers, and any other vendors, bidders or proposers. A Contractor’s “Representative” is also broadly defined to include any subcontractors, employees, agents, or anyone else who acts on a Contractor’s behalf.

  • Licensee’s Obligations The Licensee shall: 4.1. only occupy the space as discussed with the Licensor, with access given in line with the Designated Hours; 4.2. pay to the Licensor the License Fee without any deduction monthly in advance on the first day of each calendar month and proportionately for any period less than a month the first such payment being for the period from and including the date of this License to the end of the relevant month following that date to be made today. The License Fee and all other sums payable pursuant to this agreement are payable in accordance with clause 5; 4.3. pay to the Licensor on demand the Kitchen Costs; 4.4. pay interest at the Interest Rate on any arrears of the License Fee, the Kitchen Costs or any other overdue money payable to the Licensor under this agreement calculated on a daily basis from the due date until the date of payment; 4.5. adhere to the rules and regulations made by the Licensor in respect of the use of the Kitchen notified to the Licensee either directly or via the Licensor’s Website and in particular shall keep the Premises clean. The Licensee shall maintain the cleanliness of all surfaces, walls, fridges, freezers, light machinery, hobs, cookers and sinks within the Premises. Failure to meet the requirements of this clause 4.5 shall result in a cleaning fee being charged to the Licensee at a cost of £40 or such other fee as the Licensor may reasonably determine represents the cost required to rectify the Licensee’s breach from time to time, which fees may be drawn down from the Deposit Balance by the Licensor; 4.6. not cause any damage to the Premises, Equipment and/or possessions of the Licensor and other occupiers or clients of the Licensor at the Kitchen, nor alter the Premises in any way; 4.7. not obstruct the Common Parts, make them dirty or untidy or leave any rubbish on them; 4.8. not do anything which will or might vitiate in whole or in part any insurance policy affected in respect of the Kitchen and the Building from time to time (or do anything that may make the premium in respect of such policy more expensive); 4.9. pay the Licensor’s costs for any action taken by the Licensor as a result of the Licensee failing to comply with the terms of this agreement; 4.10. not use the Premises except during the Designated Hours for the purposes of the Licensee’s business; 4.11. not do or permit to be done in the Building anything which is illegal, or which may be or become a nuisance (whether actionable or not), annoyance, inconvenience or disturbance to the Licensor, the Licensor’s employees, other clients or any owner or occupier of neighbouring property; 4.12. not pour any oil or other potentially harmful liquids or substances into the sinks or any service media and at the Licensee’s cost to use the oil and waste collection services arranged by the Licensor. Any breach of this clause 4.12 shall result in a cleaning fee being charged to the Licensee at a cost of £250 or such other fee as the Licensor may reasonably determine represents the cost required to rectify the Licensee’s breach from time to time, which fees may be drawn down from the Deposit Balance by the Licensor; 4.13. not apply for any planning permission in respect of the Premises; 4.14. not carry out any building works or operations nor put up any unauthorised signs; 4.15. not allow any third party to acquire any rights over the Premises; 4.16. not do anything that would or might cause the Licensor to be in breach of the tenant’s covenants and the conditions contained in the Lease; and 4.17. the Licensee shall, as soon as practicable following receipt of a request from the Licensor, provide the Licensor with evidence of the Licensee’s qualifications including without limitation the following: PLI certificates and Safer Food Better Business Pack; 4.18. the Licensee shall maintain public liability, professional negligence, product liability and, if relevant, employer’s liability insurance providing coverage for the death and/or personal injury of, or damage or other loss caused to, any person or their possessions in connection with the Licensee’s business with an indemnity level of at least £1 million and provide written evidence of such cover on request.

  • Services by Landlord As long as Tenant is not in default hereunder, Landlord agrees to furnish those services and utilities to the Premises, which are customarily provided to tenants in comparable suburban office buildings located in the West Fort Worth area, and which shall specifically include the services listed on Exhibit “G” (attached hereto and made a part hereof for all purposes). All of such services shall be provided at Landlord’s cost and expense during Normal Business Hours except as specifically provided to the contrary elsewhere in this Lease. Services provided at times other than during Normal Business Hours shall be at Tenant’s cost and expense, with such charges to be established by Landlord, in Landlord’s sole discretion, and reimbursed to Landlord on demand. Failure to any extent to furnish or any stoppage of said utilities and services resulting from any cause whatsoever (a “Service Failure”) shall not render Landlord liable in any respect for damages to either person, property or business, nor be construed as an eviction of Tenant, nor entitle Tenant to any abatement of rent, nor relieve Tenant from fulfillment of any covenant or agreement contained herein. Should any malfunction of the Building improvements or facilities (which by definition do not include any improvements or facilities of Tenant besides Building standard improvements) occur for any reason (a “Malfunction”), Landlord shall use reasonable diligence to repair same promptly, but Tenant shall have no claim for rebate or abatement of rent or damages on account of such Malfunction or of any Service Failure occasioned thereby or resulting therefrom. Any provision herein to the contrary notwithstanding, if a Malfunction or Service Failure results in the Premises or any material portion thereof not being reasonably usable by Tenant for its business purpose (“Untenantable”) (unless the Service Failure is caused by a fire or other casualty, in which event Paragraph 22 hereof controls) and same remains uncured for a total of 5 consecutive days after Landlord’s receipt of Tenant’s written notice of the Malfunction or Service Failure, Tenant shall have the following rights and remedies: (a) Effective on the first day after the 5th consecutive day following such Malfunction or Service Failure, Tenant shall be entitled to an equitable abatement of Base Rental and Additional Rental commensurate to that portion of the Premises rendered Untenantable by the Malfunction or Service Failure calculated on a per square foot basis and ending at the time the Premises are again suitable for use by Tenant for its intended purposes.

  • Visitors Resident will be responsible in all matters regarding this Agreement for the conduct of anyone Resident invites or permits to enter the Residence Facility or its grounds. Any violation of the provisions of this Agreement by such a person will be attributed to Resident and will be grounds for cancellation of this Agreement by College on behalf of Provider, as well as grounds for discipline of Resident by College through its disciplinary process.

  • ACCESS BY LANDLORD Landlord and any of Landlord’s Invitees shall have the right to enter the Premises at all reasonable times, during normal business hours if feasible under the circumstances, and upon 24 hours’ notice, if feasible under the circumstances, (i) to determine whether the Premises are in good condition and whether Tenant is complying with its obligations under this Lease, (ii) to do any necessary maintenance or make any restoration to the Premises that Landlord has the right or obligation to perform, (iii) to serve, post, or keep posted any notices required or allowed under this Lease, (v) to post “for sale” or “for rent” or “for lease” signs during the final nine months of the Term, (vi) to show the Premises to brokers, lenders, agents, prospective buyers, prospective tenants, or other persons interested in a listing of, financing, purchasing, or occupying the Project, the Premises or any portion of the Project or the Premises, and (vii) to shore the foundations, footings, and walls of the Project, and to erect scaffolding and protective barricades around and about the Premises, but not so as to prevent entry to the Premises, and to do any other act or thing necessary for the safety or preservation of the Premises if any excavation or other construction is undertaken or is about to be undertaken on any adjacent property or nearby street. In the event of an emergency Landlord shall have the right to enter the Premises at any time, without prior notice to Tenant. Landlord’s rights under this Paragraph extend, with Landlord’s consent, to the owner of adjacent property on which excavation or construction is to take place and the adjacent property owner’s agents, employees, officers, and contractors. Landlord shall not be liable for any inconvenience, disturbance, loss of business, nuisance, or other damage arising out of any entry on the Premises as provided in this Paragraph except damage resulting directly from the grossly negligent acts or willful misconduct of Landlord or Landlord’s Invitees. Tenant shall not be entitled to any abatement or reduction of Basic Monthly Rent or other Rent because of the exercise by Landlord of any rights under this Paragraph.
