Common use of Lien Searches Clause in Contracts

Lien Searches. The Collateral Agent shall have received the results of a recent lien search in each of the jurisdictions in which Uniform Commercial Code financing statements or other filings or recordations should be made to evidence or perfect security interests in all assets of the Loan Parties, and such search shall reveal no liens on any of the assets of the Loan Party, except for Liens permitted by Section 7.3 or liens to be discharged on or prior to the Closing Date.

The Collateral Agent shall have received the results of a recent lien search by a Person satisfactory to the Arranger, of the Uniform Commercial Code, judgment and tax lien filings in each of the relevant jurisdictions in which Uniform Commercial Code financing statements or other filings or recordations should be made to evidence or perfect security interests in all where assets of the Loan PartiesParties are located, and such search shall reveal no liens Liens on any of the such assets of the Loan Party, except for Liens permitted by Section 7.3 or liens Liens to be discharged on or prior as described in Section 5.1(c) pursuant to documentation reasonably satisfactory to the Closing DateArranger.
