Common use of Lien Searches Clause in Contracts

Lien Searches. The Administrative Agent shall have received the results of recent Uniform Commercial Code and other lien searches in each relevant domestic jurisdiction with respect to all Property of the Loan Parties (except that with respect to the Real Property, such lien searches shall be limited to the Mortgaged Properties), and such search shall reveal no Liens on any of the Property of the Loan Parties, except for Permitted Liens or Liens to be discharged prior to or at the Closing Date.

Lien Searches. The Administrative Agent shall have received the results of a recent Uniform Commercial Code and other lien searches search in each relevant domestic jurisdiction with respect to all Property of the Loan Parties (except that with respect to jurisdictions where assets of the Real Property, such lien searches shall be limited to the Mortgaged Properties)Borrowers are located, and such search shall reveal no Liens on any of the Property assets of the Loan Parties, Borrowers except for Permitted Liens or Liens to be discharged on or prior to the Effective Date pursuant to a pay-off letter or at other documentation satisfactory to the Closing DateAdministrative Agent.

Lien Searches. The Administrative Agent shall have received the results of recent Uniform Commercial Code lien, judgment and other lien litigation searches for Borrower in each relevant domestic jurisdiction with respect applicable (in Administrative Agent’s reasonable opinion) to all Property of the Loan Parties (except that with respect to the Real Property, such lien searches shall be limited to the Mortgaged Properties), Borrower and such search searches shall reveal no Liens on any of the Property assets of the Loan Parties, Borrower except for Permitted Liens and Liens discharged on or Liens to be discharged prior to or at the Closing DateDate pursuant to documentation reasonably satisfactory to Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions in which Uniform Commercial Code and financing statement or other lien searches filings or recordations should be made to evidence or perfect security interests in each relevant domestic jurisdiction with respect to all Property assets of the Loan Parties (except that with respect to the Real Property, such lien searches shall be limited to the Mortgaged Properties)DOC and its Subsidiaries, and such search shall reveal no Liens on any of the Property assets of the Loan PartiesDOC or any of its Subsidiaries, except for Permitted Liens permitted by Section 7.3 or Liens to be discharged on or prior to or at the Closing DateDate pursuant to documentation which shall have been delivered, and shall be satisfactory, to the Administrative Agent.

The Administrative Agent shall have received the results of recent Uniform Commercial Code Code, tax and other judgment lien searches in each relevant domestic jurisdiction reasonably requested by the Administrative Agent with respect to all Property each of the Loan Parties (except that with respect to the Real Property, such lien searches shall be limited to the Mortgaged Propertiesentities set forth on Schedule 4.1(f), ; and such search searches shall reveal no Liens on any of the Property of the Loan Parties, Collateral except for Permitted Liens permitted by Section 6.3 or Liens to be discharged on or prior to or at the Closing Date.

The Administrative Agent shall have received the results of recent Uniform Commercial Code and other lien searches and applicable county level lien searches reflecting no Liens against any Loan Party or its assets other than Liens permitted by Section 6.02 of the Credit Agreement, in each relevant domestic jurisdiction with respect to all Property of case, in such jurisdictions as the Loan Parties (except that with respect to the Real Property, such lien searches shall be limited to the Mortgaged Properties), and such search shall reveal no Liens on any of the Property of the Loan Parties, except for Permitted Liens or Liens to be discharged prior to or at the Closing DateAdministrative Agent may require.
