Common use of Lien Searches Clause in Contracts

Lien Searches. The Administrative Agent shall have received the results of Lien searches, conducted by a search service reasonably satisfactory to the Administrative Agent, and the Administrative Agent shall be satisfied that no Liens are outstanding on the property or assets of the Company and its Domestic Subsidiaries, other than any such Liens (i) which are permitted pursuant to the terms of the Credit Documents or (ii) as to which the Administrative Agent has received documentation reasonably satisfactory to it evidencing the termination of such Liens;

Lien Searches. The Administrative Agent shall have received the results of Lien searchesa recent lien search in each of the jurisdictions where assets of the Borrowers are located, conducted by and such search shall reveal no Liens on any of the assets of the Borrowers except for Permitted Liens or Liens discharged on or prior to the Effective Date pursuant to a search service reasonably pay-off letter or other documentation satisfactory to the Administrative Agent, and the Administrative Agent shall be satisfied that no Liens are outstanding on the property or assets of the Company and its Domestic Subsidiaries, other than any such Liens (i) which are permitted pursuant to the terms of the Credit Documents or (ii) as to which the Administrative Agent has received documentation reasonably satisfactory to it evidencing the termination of such Liens;.

The Administrative Agent shall have received the results of Lien searchesrecent lien, conducted by a search service reasonably satisfactory judgment and litigation searches for Borrower in each jurisdiction applicable (in Administrative Agent’s reasonable opinion) to Borrower and such searches shall reveal no Liens on any of the assets of Borrower except for Permitted Liens and Liens discharged on or prior to the Administrative Agent, and the Administrative Agent shall be satisfied that no Liens are outstanding on the property or assets of the Company and its Domestic Subsidiaries, other than any such Liens (i) which are permitted Closing Date pursuant to the terms of the Credit Documents or (ii) as to which the Administrative Agent has received documentation reasonably satisfactory to it evidencing the termination of such Liens;Administrative Agent.

The Administrative Agent shall have received the results of Lien searches, conducted by searches with respect to personal property Collateral or other evidence reasonably satisfactory to the Administrative Agent (in each case dated as of a search service date reasonably satisfactory to the Administrative Agent) with respect to each Loan Party, and such searches shall reveal no Liens on any of the assets of such Loan Parties except for Liens permitted by Section 6.1 or discharged on or prior to the Closing Date pursuant to documentation satisfactory to the Administrative Agent shall be satisfied that no Liens are outstanding on the property or assets of the Company and its Domestic Subsidiaries, other than any such Liens (i) which are permitted pursuant to the terms of the Credit Documents or (ii) as to which the Administrative Agent has received documentation reasonably satisfactory to it evidencing the termination of such Liens;Agent.

The Administrative Agent shall have received the lien search results of Lien searches, from lien searches conducted for each entity and jurisdiction deemed relevant by a search service reasonably satisfactory to the Administrative Agent, and the Administrative Agent such search results shall be satisfied that reveal no material Liens are outstanding on the property or any assets of the Company and Holdings or its Domestic Subsidiaries, Subsidiaries other than any such Liens (i) which are liens permitted pursuant to the terms of the Credit Documents or (ii) as to which the Administrative Agent has received documentation reasonably satisfactory to it evidencing the termination of such Liens;by this Agreement.
