Common use of Limitation of Duties Clause in Contracts

Limitation of Duties. The Trustee is a party to this Agreement solely for the purposes set forth herein and neither the Trustee nor any of its officers, directors, employees or agents shall have any duties or obligations with respect to the Trust Fund, except as expressly set forth herein. To the extent not prohibited by ERISA, the Trustee shall not be responsible in any way for any action or omission of the Employer or the Investment Committee with respect to the performance of the Employer’s or Investment Committee’s duties and obligations set forth in this Agreement and in the Plan. The Trustee may rely upon such information, direction, action or inaction of the Employer or the Investment Committee as being proper under the Plan or the Agreement and is not required to inquire into the propriety of any such information, direction, action or inaction.
