Limited Disclosures to Prospective Purchaser’s Representatives. Prospective Purchaser may, however, disclose Confidential Information to its directors, officers, employees, advisors, agents or representatives (hereinafter “Representatives”), to the extent necessary to permit such Representatives to assist Prospective Purchaser in making the determination referred to in the immediately preceding sentence, but only if (i) each such Representative shall have agreed to be bound by the terms of this Agreement to the same extent as if it is a Party hereto and (ii) Prospective Purchaser shall be responsible for any breach of this Agreement by any of its Representatives. Prospective Purchaser will (at its own expense) take all actions necessary to restrain its Representatives from making any use or disclosure of any Confidential Information in violation of this Agreement. If Company delivers to Prospective Purchaser a written notice stating that certain Confidential Information may be disclosed only to specified Representatives of Prospective Purchaser, then, notwithstanding anything to the contrary contained in this Agreement, Prospective Purchaser shall not disclose or permit the disclosure of any such Confidential Information to any other Representative of Prospective Purchaser.

  • SELLER’S LEAD-BASED DISCLOSURE Pursuant to the Residential Lead-Based Paint Hazard Reduction Act of 1992 [42 USC §4852d] to the extent the Property is residential real property on which a residential dwelling was built prior to 1978, Buyer is notified that such Property may present exposure to lead from lead-based paint that may place young children at risk of developing lead poisoning. Lead poisoning in young children may produce permanent neurological damage, including learning disabilities, reduced intelligence quotient, behavioral problems, and impaired memory. Lead poisoning also poses a particular risk to pregnant women. For such reasons, the US government recommends the buyer obtain a risk assessment or inspection for lead-based paint hazards of any residential dwelling was built prior to 1978.
