Common use of Limited Relationship Clause in Contracts

Limited Relationship. Subscriber acknowledges and agrees that the purchase and sale of the Shares pursuant to this Agreement is an arms-length transaction between you and the Series. Representatives of Masterworks Advisers, LLC, a wholly owned subsidiary of Masterworks and SEC registered investment adviser, may provide you with limited advisory services in connection with the Offering. Neither the Series, the Company or Masterworks has provided you with any legal, accounting, regulatory or tax advice with respect to the Shares, and you have consulted your own respective legal, accounting, regulatory and tax advisors to the extent you have deemed appropriate.
