Common use of LMAs Clause in Contracts

LMAs. All LMAs of the Obligors are identified on Schedule 5.23 and each of the Obligors party to any of the LMAs is in compliance with all of the material terms of such LMA and, to the best of each Obligor’s knowledge, except as described on Schedule 5.23, all other parties to each such LMA are in compliance with the provisions thereof. Without limiting Borrower’s obligation to comply with this representation and warranty or any other term of this Agreement, Borrower may update Schedule 5.23 from time to time for the sole purposes of adding a Permitted LMA to such Schedule and disclosing that a non-Obligor party to a LMA is not in compliance with such LMA and upon such disclosure, Borrower shall not be in violation of this Section due to such non-compliance.

LMAs.
