LSR Prototypes Clause Samples

The "LSR Prototypes" clause defines the terms under which prototypes developed by or for the Licensee, Supplier, or Recipient (LSR) are created, used, and owned. Typically, this clause outlines who is responsible for the costs and risks associated with prototype development, how prototypes may be tested or evaluated, and what happens to the prototypes after the evaluation period—such as whether they must be returned, destroyed, or can be retained. Its core practical function is to clarify the rights and obligations of each party regarding prototypes, thereby preventing disputes over ownership, liability, and use of these preliminary models.

Some components may not represent final parts (example: vacuum-formed instead of molded, machined instead of cast, etc). The software functionality will be limited at this stage and some workarounds may be required.
