Common use of Lucent Contract Clause in Contracts

Lucent Contract. Any consent, approval or waiver which is required under the Lucent Contract by virtue of the Arrangement shall have been obtained and the Lucent Contract shall remain in full force and effect, without any amendment or modification from the terms thereof as in effect on the date of this Agreement, other than any such amendment or modification which does not materially reduce the economic benefits of such agreement to Newcourt.

Lucent Contract. Any consent, approval or waiver which is may be required under in order for the Lucent Contract by virtue to remain in full force and effect immediately after consummation of the Arrangement and the Phase II Transactions shall have been obtained and the Lucent Contract shall remain in full force and effect, without any amendment or modification from the terms thereof as in effect on the date of this Agreement, other than any such amendment or modification which does not materially reduce the economic benefits of such agreement to Newcourt.
