Maintenance of a Register. Subject to the restrictions on Transfer and ownership limitations contained below:
Maintenance of a Register. The Bank shall maintain at its principal office a copy of each Assignment and Acceptance delivered to it and a register for the recordation of the names and addresses of each assignee, and the Commitment and the principal amount of the Loans owing to each assignee pursuant to the terms hereof from time to time (the "Register"). The entries in the Register shall be conclusive in the absence of manifest error and the Company and the Bank may treat each person whose name is recorded in the Register pursuant to the terms hereof as a Bank hereunder, to extent of the interest assigned pursuant to the Assignment and Acceptance, for all purposes of this Agreement. The Register shall be available for inspection by the Company at any reasonable time and from time to time upon reasonable prior notice. Upon its receipt of a duly completed Assignment and Acceptance and the written consent of the Company to such assignment, the Bank shall (i) record the information contained in the Assignment and Acceptance in the Register, and (ii) give prompt notice thereof to the Company.

The Agent shall maintain at one of its principal offices a copy of each Assignment and Acceptance delivered to it and a register for the recordation of the names and addresses of the Banks, and the Commitment, the Letter of Credit Participations and the principal amount of the Loans owing to each Bank pursuant to the terms hereof from time to time (the "Register"). The entries in the Register shall be conclusive in the absence of manifest error and the Company, the Agent and the Banks may treat each person whose name is recorded in the Register pursuant to the terms hereof as a Bank hereunder for all purposes of this Agreement. The Register shall be available for inspection by the Company and any Bank, at any reasonable time and from time to time upon reasonable prior notice. The Agent shall also be authorized to amend, modify and substitute Schedule 1.22. attached hereto from time to time to properly reflect the Commitment Percentages of the Banks under this Agreement.

The Administrative Agent shall maintain at one of its principal offices a copy of each Assignment and Acceptance delivered to it and a register for the recordation of the names and addresses of the Lenders, and the Commitment and the Commitment Percentage, and principal amount of the Loans owing to, each Lender pursuant to the terms hereof from time to time (the "Register"). The entries in the Register shall be conclusive in the absence of manifest error and Borrower, the Administrative Agent, the Documentation Agent and the Lenders may treat each person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement. The Register shall be available for inspection by Borrower and any Lender, at any reasonable time and from time to time upon reasonable prior notice. The Administrative Agent shall also be authorized to amend, modify and substitute Schedule 1.35. attached hereto and Schedule 1.36. attached hereto from time to time to properly reflect the Commitments and the Commitment Percentages of the Lenders under this Agreement.

Subject to the restrictions on Transfer and ownership limitations contained below: The Company shall keep or cause to be kept on behalf of the Company and each Series a register that will set forth the Record Holders of each of the Interests and information regarding the Transfer of each of the Interests. The Managing Member is xxxxxx initially appointed as registrar and transfer agent of the Interests, provided that the Managing Member may appoint such third-party registrar and transfer agent as it determines appropriate in its sole discretion, for the purpose of registering Interests and Transfers of such Interests as herein provided, including as set forth in any Series Designation. Upon acceptance by the Managing Member of the Transfer of any Interest, each transferee of an Interest (i) shall be admitted to the Company as a Substitute Economic Member with respect to the Interests so transferred to such transferee when any such transfer or admission is reflected in the books and records of the Company, (ii) shall be deemed to agree to be bound by the terms of this Agreement by completing a Form of Adherence to the reasonable satisfaction of the Managing Member in accordance with Section 4.2(g)(ii), (iii) shall become the Record Holder of the Interests so transferred, (iv) grants powers of attorney to the Managing Member and any Liquidator of the Company and each of their authorized officers and attorneys in fact, as the case may be, as specified herein, and (v) makes the consents and waivers contained in this Agreement. The Transfer of any Interests and the admission of any new Economic Member shall not constitute an amendment to this Agreement, and no amendment to this Agreement shall be required for the admission of new Economic Members. Nothing contained in this Agreement shall preclude the settlement of any transactions involving Interests entered into through the facilities of any National Securities Exchange or over-the-counter market on which such Interests are listed for trading, if any.

The entries in the Register shall be conclusive in the absence of manifest error and Borrower, the Administrative Agent, the Documentation Agent and the Lenders may treat each person whose name is recorded in the Register pursuant to the terms hereof as a Lender hereunder for all purposes of this Agreement. The Register shall be available for inspection by Borrower and any Lender, at any reasonable time and from time to time upon reasonable prior notice. The Administrative Agent shall also be authorized to amend, modify and substitute SCHEDULE 1.153. attached hereto from time to time to properly reflect the Commitments and the Commitment Percentages of the Lenders under this Agreement.
