Common use of Maintenance of Confidentiality Clause in Contracts

Maintenance of Confidentiality. Each party shall use reasonable and customary precautions to safeguard the other party’s Confidential Information, including ensuring that all employees, consultants, agents or contractors who are provided access to such Confidential Information are informed of the confidential and proprietary nature of such Confidential Information and have confidentiality and nonuse obligations that are at least as restrictive as those contained in this Agreement.

Maintenance of Confidentiality. Each party shall use take at least those measures that it takes to protect its own confidential information of a similar nature, but in no case less than reasonable care, and customary precautions shall ensure that its employees who have access to safeguard Confidential Information of the other party’s party are bound by an obligation of confidentiality substantially similar to the provisions hereof, prior to any disclosure of Confidential Information, including ensuring that all employees, consultants, agents or contractors who are provided access Information to such Confidential Information are informed of the confidential and proprietary nature of such Confidential Information and have confidentiality and nonuse obligations that are at least as restrictive as those contained in this Agreementemployees.

Without limiting the foregoing, including ensuring each party shall take at least those measures that all employees, consultants, agents it takes to protect its own confidential information and shall ensure that its employees or independent contractors who are provided have access to such Confidential Information are informed of the confidential other party have signed a non-use and proprietary nature non- disclosure agreement in content similar to the provisions hereof, prior to any disclosure of such Confidential Information and have confidentiality and nonuse obligations that are at least as restrictive as those contained in this Agreementto such employees.

To the extent permissible by law, each party agrees that it shall take reasonable measures to protect the secrecy of and avoid disclosure and unauthorized use of the Confidential Information of the other party. Without limiting the foregoing, each party shall take at least those measures that it takes to protect its own most highly confidential information. Each party shall use reasonable and customary precautions to safeguard reproduce the other party’s Confidential Informationproprietary rights notices on any such approved copies, including ensuring that all employees, consultants, agents in the same manner in which such notices were set forth in or contractors who are provided access to such Confidential Information are informed of on the confidential and proprietary nature of such Confidential Information and have confidentiality and nonuse obligations that are at least as restrictive as those contained in this Agreementoriginal.
