Common use of Maintenance of Facility Clause in Contracts

Maintenance of Facility. Customer shall, at its sole cost and expense, maintain the Facility in good condition and repair to the extent necessary to allow continued operation of the System. Customer will ensure that the Facility remains interconnected to the Utility’s electric distribution system at all times and will not cause cessation of electric service to the Facility from the Utility. Customer is fully responsible for the maintenance and repair of the Facility’s electrical system and of all of Customer’s equipment that utilizes the System’s outputs. Customer shall promptly notify Seller of any matters of which it is aware pertaining to any damage to or loss of use of the System or that could reasonably be expected to adversely affect the System. Seller shall have appropriate personnel present at the Facility within 48 hours of any notification from Customer of material damage to or loss of use of the System.
