Maintenance of Kitty Hawk. Kitty Hawk agrees that from the date of delivery of this Lease to the Termination Date there will always be a corporation duly organized and existing under the laws of the State of Delaware and qualified to do business in the State, acting as lessee under this Lease, and the Lessee shall not dissolve or otherwise dispose of all or substantially all of its assets and shall not consolidate with or merge with another entity which would adversely affect the creditworthiness of Kitty Hawk without the expressed written consent of the Airport Authority, which written consent shall not be unreasonably withheld. provided, however, that Kitty Hawk may consolidate with or merge with another entity, so long as Kitty Hawk provides to Landlord a written opinion of Ernst & Young, or a comparable national accounting firm, to the effect that such consolidation or merger will not materially affect Kitty Hawk or the successor entity's ability to perform its obligations under this Lease. The Building Corp. and the Authority shall be notified, in writing, of any change in the identity of Kitty Hawk under the Lease.
