Make-Whole Redemption Clause Samples
A Make-Whole Redemption clause allows an issuer to redeem outstanding debt securities before their scheduled maturity by paying bondholders a specified amount intended to compensate for the loss of future interest payments. Typically, this amount is calculated based on the present value of remaining interest payments plus the principal, often using a benchmark rate such as a government bond yield plus a spread. The clause ensures that investors are made financially whole if the issuer chooses to repay the debt early, thereby protecting them from reinvestment risk and unexpected changes to their expected returns.
