Management Stockholders. The Management Stockholders shall enter into employment agreements with JAG Media LLC in form and substance satisfactory to all parties thereto prior to the Closing.
Management Stockholders. The term “Management Stockholders” shall mean the collective reference to Xxxxxx Xxxxxxx and the other Persons listed on Schedule 3.8(a) to this Agreement.
Management Stockholders. Management Stockholder shall mean, initially, the Stockholders listed on Exhibit B hereto, and thereafter any Person who becomes a party to this Agreement as a Management Stockholder by executing an Instrument of Accession in connection with the transfer to such Person from any Stockholder (provided that the transfer to such subsequent holder is permitted by this Agreement and the Securities Purchase Agreements) or acquisition by such Person of Stock from the Company which such Instrument of Accession states that such Person is a Management Stockholder; provided that a Person shall cease to be a Management Stockholder at such time as such Person ceases to own Stock.
Management Stockholders. Each Management Stockholder on the date hereof has executed this Agreement and is bound hereby. After the date hereof, the Company shall not issue, and shall cause its Subsidiaries not to issue, any Equity Interests to an employee of the Company or any of its Subsidiaries, including any Affiliate of such employee, unless he or she first delivers to the Company a joinder agreement, in form and substance satisfactory to the Company, agreeing that he or she is bound by the terms hereof as a Management Stockholder.
Management Stockholders. Each Management Stockholder acknowledges and agrees that until the termination contemplated in Section 3.01(g), such Management Stockholder (or any Permitted Transferee of such Management Stockholder) shall not Transfer any Common Stock, Preferred Stock, or Stock Equivalents, except:
(A) pursuant to Section 4.02;
(B) pursuant to Section 4.03; or
(C) upon the exercise of a tag-along right by a Tag-along Stockholder pursuant to Section 4.04. Any such Transfer by a Management Stockholder shall be made only either as permitted pursuant to Section 4.02 or in strict accordance with the restrictions, conditions and procedures described in the other provisions of this Section 4.01 and Section 4.03 and Section 4.04, as applicable.
