Common use of MANAGER'S RESPONSIBILITY TO INTERFACE Clause in Contracts

MANAGER'S RESPONSIBILITY TO INTERFACE. WITH SPRINT PCS. Manager will use platforms fully capable of interfacing with the Sprint PCS platforms in operating the Service Area Network and in providing Sprint PCS Products and Services. Manager will pay the expense of making its platforms fully capable of interfacing with Sprint PCS, including paying for the following: (i) connectivity; (ii) any changes that Manager requests Sprint PCS to make to Sprint PCS systems to interconnect with Manager's systems that Sprint PCS, in its sole discretion, agrees to make; (iii) equipment to run Manager's software; (iv) license fees for Manager's software; and (v) Manager's upgrades or changes to its platforms.
