Manufacturer Approval. Manufacturer has issued to Buyer a new Dealership Sales and Service Agreement, or commitment therefor, on terms and conditions acceptable to Buyer in its sole discretion, approving Buyer’s board of directors and other designees, permitting Buyer to operate the Dealership at the Real Property as Seller has operated it in the past.
Manufacturer Approval. LMP is not aware of any facts or circumstances which could reasonably be expected to be the basis for the Manufacturer not to approve the transaction contemplated herein.
Manufacturer Approval. Manufacturer issuing to NewCo new sales and service agreements, or commitment therefor, on terms and conditions reasonably acceptable to LMP, approving LMP’s and NewCo’ owners and operators, permitting NewCo to operate the Dealership at the Property as Contributor has operated in the past.

The Manufacturers shall have approved in writing the Transaction and the appointment of the Purchaser as an authorized motor vehicle dealer in the Manufacturers’ products at the applicable Dealership Premises, all on terms (including any facility or image improvement requirements) acceptable to each of the Manufacturers, and the Purchaser shall have obtained from each of the Manufacturers all documentation necessary for issuance of a West Virginia new motor vehicle dealer license. Each of the Manufacturers shall have executed all documents required to terminate its dealer sales and service agreements with the Seller, to be effective as of the Closing Date and to be delivered to the Seller at Closing.
Manufacturer Approval. The Manufacturers shall have given any required approval of the Reorganization and shall have given any required approval of O. Xxxxxx Xxxxx or his designee as the authorized dealer operator of the Company's and its Subsidiaries' dealership franchises with the Manufacturers at the present dealership locations in their existing facilities as currently configured for dealership operations, and the Manufacturers shall have executed any required dealer agreements and/or amendments or supplements thereto in connection with the foregoing.

Xxxxxx Xxxxx or his designee as the authorized dealer operator of the Company's dealership franchises with the Manufacturer at the present dealership locations, and the Manufacturer shall have executed any required dealer agreements and/or amendments or supplements thereto in connection with the foregoing.
Manufacturer Approval. The Manufacturer shall have approved (a) the Buyer or the Buyer's affiliate as an authorized dealer at the present dealership locations in the Seller's existing facilities as currently configured for dealership operations, and (b) O. Bruton Smith or O. Bruton Smith's designee as the authorized dealer xxxxxxxx; xnd the Xxxxxxxxxxxx xhall have executed a dealer agreement, and any other applicable sales and service agreements, on terms reasonably satisfactory to the Buyer.
Manufacturer Approval. Except as disclosed in Section 5.09 of the Disclosure Letter, as of the date hereof, the Purchaser has no Knowledge, and has not received any notice or indication from any Manufacturer, whether or not pursuant to any framework or other agreement of the Purchaser or its Affiliates with any Manufacturer, that the Purchaser will not receive, or is not likely to receive, such Manufacturer’s approval to complete the Transactions.
