Manufacturer Coverage Gap Discount. (a) Pursuant to its CMS contract, Express Scripts has agreed to administer for EGWP Enrollees at point-of-sale the Coverage Gap Discount authorized by section 1860D-14A of the Social Security Act. In connection with the Coverage Gap Discount, CMS will coordinate the collection of discount payments from manufacturers, and payment to Express Scripts, through a CMS contractor (the “Coverage Gap Discount Payments”). Subject to Section 2.2(a) above, Express Scripts agrees to periodically remit to the Agency amounts equal to 100% of the Coverage Gap Discount Payments received by Express Scripts within forty-five (45) days of the CMS Manufacturer Payment Date. Express Scripts and its Affiliate retain all rights, title and interest to any and all actual Coverage Gap Discount Payments received from CMS. Express Scripts shall pay the Agency amounts equal to the Coverage Gap Discount Payments amounts allocated to the Agency, as specified in this Agreement, from Express Scripts’ or its Affiliate’s general assets (neither the Agency nor its EGWP Enrollees retain any beneficial or proprietary interest in Express Scripts’ or its Affiliate’s general assets). The Agency acknowledges and agrees that neither it nor its EGWP Enrollees shall have a right to interest on, or the time value of, any Coverage Gap Discount Payments received by Express Scripts or its Affiliates during the collection period or moneys payable under this Section. No Coverage Gap Discount Payments shall be paid until this Agreement is executed by the Agency. Express Scripts shall have the right to apply Agency’s allocated Coverage Gap Discount Payments amount to past due and unpaid Fees and shall have the right to delay payment of Coverage Gap Discount Payments, for a reasonable period of time not to exceed ninety (90) days, to allow for final adjustments upon termination of this Agreement. Express Scripts shall pay Agency the Coverage Gap Discount Payments amount as soon as reasonably practicable after final adjustment. Notwithstanding anything contained in this Section, Express Scripts shall retain all rights, title, and interest to the amounts that Express Scripts is contractually obligated to pay the Agency hereunder. Failure by Express Scripts to pay such amounts will constitute a breach of this Agreement.   • Contribution Formula - Basic Life Coverage For employee basic life coverage and accidental death and dismemberment coverage, the Employer contributes one-hundred (100) percent of the cost.
