Manufacturing and Distribution i) Motorola shall be responsible for Product manufacturing and the fulfillment of orders for Products, including shipping, delivery and payment of any import duties, taxes, environmental charges, etc. Motorola may fulfill these responsibilities itself, or may have its affiliates or other third parties perform these obligations (e.g. use of third party contract manufacturers) on Motorola’s behalf. In any event, Motorola shall be liable for its affiliates and authorized third parties’ performance of these obligations.
Manufacturing and Distribution. Lallemand is responsible for manufacturing the Product in finished form, including any packaging and for supplying, in a timely manner, customers’ requirements of the Product. Subject to section 1.14 e), Lallemand will incur all costs related to the manufacture and supply of the Product. Lallemand is responsible for handling all returns, order processing, invoicing and collection, distribution and inventory, and receivables for the Product.
Manufacturing and Distribution. Manufacturing and distribution of the Licensed Software and Documentation to OEM Partner's End Users shall be the responsibility of OEM Partner. Synopsys shall provide master copies of the Licensed Software and Documentation including available design examples and application notes published for End Users. Unless otherwise agreed to in writing by the parties, OEM Partner shall employ a software license key system in connection with each copy of the Licensed Software distributed by it. Documentation will be provided in machine-readable form for adaptation by OEM Partner. Final OEM Partner documentation adapted from Synopsys Documentation will acknowledge Synopsys as the source. OEM Partner shall provide Synopsys; with copies of all Documentation for review and approval prior to distribution. OEM Partner will use reasonable commercial efforts to provide the review copies of the Documentation in time to allow Synopsys thirty (30) days to review and approve or provide feedback on said Documentation.
Manufacturing and Distribution. 1.1 Healthpoint and DPT have agreed to distribute Rystan's Existing Inventory and Rystan's Additional Inventory on Integra's behalf until such time as Healthpoint and/or DPT has received on behalf of Integra $3,000,000 of "Adjusted Gross Sales" (as defined in Section 1.4 below). All of Rystan's finished Product inventory existing on the date hereof ("Rystan's Existing Inventory") will be delivered to DPT for distribution pursuant to this Agreement. Rystan shall manufacture at its expense and deliver for distribution to DPT additional Products inventory ("Rystan's Additional Inventory") in an amount sufficient so that Rystan's Existing Inventory and Rystan's Additional Inventory will support Net Sales (as defined in Section 1.5 below) attributable to $3,000,000 of invoiced gross sales of the Products.
Manufacturing and Distribution. ISS grants ECI certain rights of manufacturing for the Territory as outlined on Exhibit A. ECI may elect to purchase certain of the Products from ISS. The cost to ECI for those products is outlined on Exhibit B, for such time as ISS can provide product. From and after the time when a contract manufacturer has been approved by the parties hereto, the cost listed on Exhibit B shall be amended to such agreed upon cost. ECPI hereby consents to the granting of such license provided that, to the extent reasonably practicable, ECI works with contract manufacturers selected by ECPI.

We currently utilize a virtual supply manufacturing and distribution chain in which we do not have our own facilities to manufacture commercial or clinical trial supplies of drugs and we do not have our own distribution facilities. Additionally, we do not intend to develop such facilities for any product in the near future. Instead, we contract with third parties for the manufacture, warehousing, order management, billing and collection and distribution of our products and product candidates. This virtual approach allows us the flexibility to adapt as our pipeline advances.
