Material Agreements, etc. At all times be and remain in full compliance in all material respects with all of its covenants, agreements and obligations in and diligently enforce all its material rights under all Material Agreements, advise the Lender in writing of all new Material Agreements (or any material amendments of existing Material Agreements) entered into forthwith following the entering into thereof and shall deliver forthwith a copy thereof to the Lender. The Borrowers shall provide written notice to the Lender of any assignment made by a contracting party to a Material Agreement.

To the Borrower's knowledge all of the material agreements to which Borrower or any Subsidiary is a party are legally valid, binding, and in full force and effect and neither the Borrower, any of the Subsidiaries nor, to Borrower's knowledge, any other parties thereto are in material default thereunder.

All of the material agreements to which Borrower or any Subsidiary is a party, are legally valid and binding with respect to the Borrower and its Subsidiaries, and, to Borrower's knowledge, in full force and effect and neither the Borrower, any of the Subsidiaries nor, to Borrower's knowledge, any other parties thereto are in material default thereunder except for any defaults which could not individually or in the aggregate, reasonably be expected to have a Material Adverse Effect.
Material Agreements, etc. As of the date of this Agreement, none of the Borrowers nor any of the Restricted Subsidiaries is a party or otherwise subject to or bound or affected by any Material Agreement, except as set out in Schedule 7.01(u). Except as set forth in Schedule 7.01(u), all such Material Agreements are in full force and effect and none of the Borrowers or any of the Restricted Subsidiaries, or to the best of the Borrowers' knowledge, any other party to any Material Agreement has defaulted under any of the Material Agreements. To the best of the Borrowers' knowledge, no event has occurred which, with the giving of notice, lapse of time or both, would constitute a default under, or in respect of, any Material Agreement. There is no dispute regarding any Material Agreement which is not reasonably expected to be resolved in the ordinary course of business and in accordance with normal commercial practice.
