Material Dispute definition

Material Dispute means any dispute that could reasonably be expected to cause a material adverse change in the financial condition or results of operations of the Company.
Material Dispute means the failure of the Category A Directors and the Category B Directors to agree with respect to any of the following items at two (2) consecutive meetings of the Board of Directors:
Material Dispute means (a) any dispute, litigation or arbitration that will or would reasonably be expected to affect the Project, and (b) the settlement, compromise or dismissal of any dispute, litigation or arbitration affecting the Project, but only if such settlement, compromise, or dismissal would reasonably be expected to (i) result in a Material Budget Overrun or (ii) involve an amount greater than $1,000,000 individually or in the aggregate at any one time.

Examples of Material Dispute in a sentence

  • The mediator shall be disqualified as a witness, expert or counsel for any party with respect to the Material Dispute and any related matters.

  • The Members agree to participate in the mediation of the Material Dispute to its conclusion.

  • It is the intention of the Board of Directors to make a good faith effort to settle any dispute, controversy, claim or other matter in question arising under or related to the Company or this Agreement, including all issues of fact and law that constitute a Material Dispute.

  • For a period of thirty (30) days after the receipt by the other category of Directors of such written notice, both categories of Directors shall then try in good faith to settle the Material Dispute by mutually agreeing on, engaging in and meeting with an individual that will serve as a mediator for the purpose of resolving the Material Dispute.

  • If the Material Dispute is still not resolved after such meeting(s), either category of Directors may invoke the Material Dispute resolution procedures set forth in this Section 12.4(b) by sending written notice to the other invoking the procedures of this Section 12.4(b).


More Definitions of Material Dispute

Material Dispute means any bona fide material dispute between the Members with respect to the Company, which dispute cannot be resolved pursuant to the terms of this Agreement or by the Members after they have both exerted their reasonable and good faith efforts to do so.
Material Dispute means any dispute between an Obligor and a third party that has impaired, or could reasonably be expected to impair, the ability of any Obligor to carry on business in the ordinary course or has caused, or could reasonably be expected to cause a Material Adverse Effect.
Material Dispute means a dispute implicating an amount that is more than ten percent (10%) of STATION’s Monthly Blanket License Fee.
Material Dispute means any dispute where the amount in dispute is or was at least half of the Net Worth of any member(s) of the Applicant.
Material Dispute means the failure of the Category A Directors and the Category B Directors to vote in a similar manner with respect to any of the following items at two (2) consecutive meetings of the Board of Directors: (i) Approval of the annual operating and capital budgets of the Company and any changes or amendments thereto; (ii) Approval of any addition, modification or termination of hospital services; (iii) Incurring additional indebtedness in excess of ten percent (10%) of the Company’s total assets (other than debt which is specifically approved in connection with approved operating and capital budgets of the Company); and (iv) Approving Additional Capital Contributions (other than Additional Capital Contributions which are specifically approved in connection with approved operating or capital budgets of the Company).
Material Dispute shall be as defined in Section 2.01(a)(iii).
Material Dispute has the meaning set forth in Section 6.6(c).
