Material Agreements; No Defaults. There are no material breaches, violations, defaults, or events that have occurred, that with notice, the lapse of time and/or the occurrence of any other event would constitute a default, or allegations or assertions of any of the foregoing by the Company or the Subsidiaries, as the case may be, or, to the knowledge of the Company, any other party, with respect to any contract or agreement to which the Company or any of its Subsidiaries is a party that is a “material contract” within the meaning of Item 601(b)(10) of Regulation S-K and that is to be performed in whole or in part after the date of this Agreement, and each such contract or agreement has been filed as an exhibit to the Company’s SEC filings pursuant to Item 601 of Regulation S-K.
Material Agreements; No Defaults. (a) Schedule 4.10 sets forth a complete and correct list of all material instruments, agreements, indentures, mortgages, guarantees, notes, commitments, accommodations, letters of credit or other arrangements or understandings, whether oral or written, to which the Company or the Subsidiary is a party or pursuant to which the Company or the Subsidiary is obligated (the "Unwire Material Agreements"). The Unwire Material Agreements constitute all of the contracts, agreements, understandings and arrangements required for the operation of the Company's business as currently conducted or which have a material effect thereon. Copies of all such Unwire Material Agreements have previously been made available to the Purchaser, and such copies are complete and correct as of the date hereof. The failure to obtain a consent or waiver under any Unwire Material Agreement with respect to the transactions contemplated in this Agreement, will not (i) result in the payment of any damages or penalties by the Company or in the acceleration of any obligations of the Company, or (ii) singly or in the aggregate, have a Material Adverse Effect on the Company; provided, HOWEVER, that the Purchaser and the Sellers agree that the Company's failure to obtain a consent or waiver with respect to those agreements considered to be "framework agreements" pursuant to which the Company's counterparties have no obligation to pay or perform shall not, in and of itself, be deemed to have a Material Adverse Effect on the Company. (b) Each of the Unwire Material Agreements was entered into in the ordinary course of the Company's business, is in full force and effect on the date hereof and is valid, binding and enforceable in accordance with its terms. Except as disclosed in Schedule 4.10, neither the Company or the Subsidiary, nor, to the Sellers' knowledge, any other person or entity is in breach of, or in default under, any Unwire Material Agreement, and no event or action has occurred, is pending or, to the Sellers' knowledge is threatened, which, after the giving of notice, passage of time or otherwise, would constitute or result in such a breach or default by the Company or the Subsidiary or, to the best knowledge of the Sellers, any other person or entity party to an Unwire Material Agreement, the effect of which, singly or in the aggregate, would have a Material Adverse Effect on the Company. Material Agreements; No Defaults. Schedule 3(h) lists all contracts and other agreements (“Material Agreements”) to which the Corporation is a party. The Corporation has made available to Buyer either an original or a correct and complete copy of each written Material Agreement. With respect to each Material Agreement to which the Corporation is a party thereto: (i) the agreement is the legal, valid, binding, enforceable obligation and is in full force and effect in all material respects, subject to bankruptcy and equitable remedies exceptions; (ii) (A) is not in material breach or default thereof and (B) no event has occurred which, with notice or lapse of time, would constitute a material breach or default of, or permit termination, modification, or acceleration under, the Material Agreement; and (iii) no material provision of any Material Agreement has been repudiated.

(b) Part 3.17(b) of the Disclosure Letter is a work in progress schedule setting forth the total amount of each contract and certain information as reflected in the captions thereto.

Company has previously delivered to Buyer true, complete and correct copies of each such document. (b) Neither Company nor any of its Subsidiaries is in default under any contract, agreement, commitment, arrangement, lease, insurance policy or other instrument to which it is a party, by which its assets, business, or operations may be bound or affected, or under which it or its assets, business, or operations receives benefits, and there has not occurred any event that, with the lapse of time or the giving of notice or both, would constitute such a default. No power of attorney or similar authorization given directly or indirectly by Company is currently outstanding.

(b) Each Material Contract is valid and binding on the Company (and/or each such Subsidiary of the Company party thereto) and, to the Knowledge of the Company, on each other party thereto, and is in full force and effect, and neither the Company nor any of its Subsidiaries that is a party thereto, nor, to the Knowledge of the Company, any other party thereto, is in breach of, or default under, any such Material Contract, and no event has occurred that with notice or lapse of time or both would constitute such a breach or default thereunder or would result in the termination thereof or would cause or permit the acceleration or other change of any right or obligation of the loss of any benefit thereunder by the Company or any of its Subsidiaries, or, to the Knowledge of the Company, any other party thereto, except for such failures to be in full force and effect and such breaches and defaults that would not, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect.
