Common use of Materials and Records Clause in Contracts

Materials and Records. (a) All DISTRIBUTOR materials developed and provided to Broker-Dealer such as programs, manuals, tapes, guidelines, advertisements, sales literature or any other information or printed materials pertaining to DISTRIBUTOR’s products, or their content, shall remain the sole and exclusive property of DISTRIBUTOR, and shall be used only in the solicitation of applications for Company’s Contracts and may not be used for any other purpose without prior written approval of DISTRIBUTOR. (b) All accounts, ledgers, correspondence and other records of each party pertaining to this Agreement shall be open for inspection by any officer or duly authorized representative of the other party.
