Sample Requirements. Each Party acknowledges that certain of the Materials transferred hereunder may consist of Samples that are derived or collected from human subjects. Each Party further acknowledges that the transfer of Samples is a highly sensitive matter, and therefore, each Party shall ensure that all Samples transferred by or on behalf of such Party to the other Party under this Agreement shall have been collected, processed, de-identified, tracked, stored, transported, manipulated and destroyed in a manner appropriate to ensure compliance with: (i) the terms and conditions of this Agreement, (ii) any applicable requirements of an IRB, and (iii) all Applicable Laws and ethical standards, including privacy and patient confidentiality laws (collectively, (i), (ii) and (iii) are referred to as “Sample Requirements”) in connection with the collection of the Samples.
Sample Requirements. Samples delivered to GLS will be clearly identified with the applicable information found on the respective Sample Submission Form. Specifically, the following information must be included: (i) If the sample is an unfinished hemp product: (1) submitting person/company’s name and contact information, (2) hemp grower’s name, address and license number, (2) sample type, ID, and quantity supplied, and (3) any other information required by the applicable Sample Submission Form or deemed reasonably necessary by GLS. (ii) If the sample is a finished hemp product: (1) submitting person/company’s name and contact information, (2) sample type, ID, packaging and quantity supplied, (3) any other information required by the applicable Sample Submission Form or deemed reasonably necessary by GLS. (iii) In addition, subject to the specific requirements found in the applicable Detailed Proposal or other writing approved by GLS, (a) if a hemp sample is ground, then Client must provide GLS with at least 100 grams of representative sample, which has been ground to a one millimeter particle size; (b) if a hemp sample is not ground and is solid, then Client must provide GLS with at least 300 grams of sample; and (c) if a sample is liquid, then Client must provide GLS with at least 15 milliliters of sample. Client must also provide GLS an appropriate amount of samples, which will be outlined in the applicable Detailed Proposal or other writing approved by GLS. Notwithstanding anything herein to the contrary, Client acknowledges and agrees that, if Client provides GLS with a sample that does not comply with this section 4(a) (whether with the approval of GLS or otherwise): (d) the Services performed with respect to such sample, as well as the results and Work Product (as defined below) derived therefrom, may be compromised; (e) GLS will not be responsible or liable in any way for any Services, results or Work Product so compromised; and (f) Client will not be entitled to any of the remedies set forth in Section 6(a) or 13(a) below or elsewhere in this Agreement in connection with such Services, results and Work Product.
Sample Requirements. Generally, at least 40 microns of tissue cut from FFPE specimens and mounted as unstained slides, plus an additional unstained slide for H&E, are required. (4 x 10 micron slides, or 8 x 5 micron slides, plus an additional 1 x 4 micron slide for H&E staining) Reference SOW appendices for more information on other tissue types and their general requirements. • If less than 40 microns of tissue is available, Foundation can pre-review the H&E images to determine the tumor content of >20%. The sample may be utilized for Foundation’s validated small sample extraction protocol in the CLIA lab. • A hard copy of the Sample Manifest must accompany all packages samples received at FMI.   • Vehicle Requirements The following shall be considered minimum Vehicle requirements. The Authorized User shall include supplemental required specifications for Vehicles specified in a Mini-Bid. Unless otherwise indicated, all items specified which are listed on the OEM Pricelist as standard or optional equipment shall be factory installed and operative. Vehicles delivered to an Authorized User in a condition considered to be below retail customer acceptance levels will not be accepted. Items which determine this acceptance level shall include, but not be limited to, the general appearance of the interior and exterior of the vehicle for completeness and quality of workmanship, lubrication and fluid levels, with any leaks corrected, mechanical operation of the vehicle and all electrical components operational. Product specified to be furnished and installed which is not available through the OEM shall conform to the standards known to that particular industry, both product and installation.

  • Time Requirements The Independent Contractor will not be required to follow or establish a regular or daily work schedule, but shall devote during the term of this Agreement the time, energy and skill as necessary to perform the services of this engagement and shall, periodically or at any time upon the request of the Company, submit information as to the amount of time worked and scope of work performed.
