Meaning of Ordinary Course. The termordinary course”, when used in relation to the conduct by the Company of its businesses, or the conduct of the business by any other Person, means any transaction or activity which constitutes an ordinary day-to-day business activity, conducted in a commercially reasonable and businesslike manner, having no extraordinary features, and, in the case of the Company, consistent with past procedures and practice, and regardless of whether or not any such transaction resulted in the Company having to incur a Loss (except if due to gross negligence or willful misconduct in the conduction of the Business), and, in the case of any other Person, any transaction or activity that such a Person might reasonably be expected to carry out from time to time, insofar as such Person is of similar nature and size and engaged in a similar business.
