Mediation between Contractor and Subcontractor. The Parties shall endeavor to resolve their Disputes through mediation. Any such mediation proceedings shall be under the auspices of and governed by the rules of the Prime Contract Documents. If the Prime Contract Documents do not provide rules for mediation, the mediation shall be governed by the Construction Industry Mediation Rules of the American Arbitration Association or the Parties may mutually agree to select another set of mediation rules. In such event, neither Party shall proceed with arbitration or litigation until the completion of the mediation process. The costs of the mediator shall be shared equally by the Parties.
