Subcontract Documents. The Subcontract Documents consist of (1) this Subcontract; (2) Other Prime Contract Documents, whether issued before or after the execution of this Subcontract; (3) the Job Progress Schedules, including modifications thereof; (4) General Rules and Procedures and modifications thereof; and (5) Addenda modifications, and the attachments to this Subcontract. These documents form the Subcontract Documents and are as fully a part of this Subcontract as if attached to this Subcontract or repeated herein.

Subcontract Documents. The Subcontractor must keep available on Site at least one complete set of current Subcontract Documents. Where portions of the Works are being performed away from the Site, the Subcontractor must keep at that location at least one set of current Subcontract Documents that relate to that portion of the Works. The Subcontractor must allow Honeywell to inspect any document at any time to verify its currency and completeness. Any deficiencies identified from these inspections may be notified by Honeywell to the Subcontractor and must be rectified by the Subcontractor within five (5) days of the receipt of such notice. The Subcontractor acknowledges and agrees that it is fully responsible for the documents that the Subcontractor is required to prepare or provide under this Subcontract and that: 1) no comment, review or direction (or any failure to comment, review or give a direction) by Xxxxxxxxx or Xxxxxxxxx’s Representative; and 2) no acknowledgement or purported or actual acceptance by Honeywell or Honeywell’s Representative, 3) with respect to any such document will waive or relieve the Subcontractor from any liability or obligation under this the Subcontract or affect any warranty given by the Subcontractor under this Subcontract.

Subcontract Documents. 1.1 The Prime Contract consists of the construction contract between Contractor and Owner for the Project and all addenda, modifications, and revisions thereto, together with all drawings, project manuals, specifications, conditions (general, technical, supplementary, and special), and all other documents listed in or referenced by the Prime Contract. The Prime Contract is incorporated herein by reference and to the extent it is applicable to this Subcontract and not contradicted or amended by this Subcontract it is made an integral part of the Subcontract. 1.2 The Subcontract consists of the Agreement between Contractor and Subcontractor and all addenda, modifications and revisions thereto, together with all exhibits thereto, including, without limitation, these Subcontract Terms and Conditions, the Project-Specific Supplemental Terms, and the Prime Contract to the extent described in Paragraph 1.1. Subcontractor hereby acknowledges that it has carefully reviewed and examined the Subcontract, and that any and all ambiguities and discrepancies have previously been clarified and/or corrected. Subcontractor agrees that it will not make any claim or demand upon Contractor based upon or arising out of any misunderstanding or misconception on Subcontractor’s part of the provisions and requirements of the Subcontract if Subcontractor knew or should have known of the ambiguity or discrepancy. 1.3 In case Subcontractor discovers any ambiguity or discrepancy in the Subcontract relating to the Subcontract Work (as defined in Article II hereof), Subcontractor shall promptly notify Contractor of the same in writing. Subcontractor shall, at its sole expense, make any change in its planned, fabricated or installed work, and shall be responsible for the expense of changing the subsequent work of others, necessitated by failure to disclose said ambiguity or discrepancy which Subcontractor discovered or should have discovered. 1.4 All of the provisions which comprise the Subcontract shall be interpreted together and in harmony with one another. However, in case of conflict, the more expensive or stringent requirement shall control. 1.5 Subcontractor binds itself to Contractor and is obligated to Contractor in the same manner and to the same extent that Contractor is bound and obligated to Owner under the Prime Contract with respect to the Subcontract Work. Subcontract Documents. Subcontractor agrees to assume toward Honeywell, to the extent applicable to the Subcontractor’s scope of work, all the obligations that Honeywell has assumed toward the Owner/ and toward the Customer by the terms of the Contract (including, without limitation, all attachments, exhibits, schedules thereto) and all related documents and instruments, including without limitation, by the terms of the Plans and Specifications, General Conditions and Supplementary General Conditions, relating to the entire project (“Subcontract Documents”), which Contract Documents are available for examination by the Subcontractor. If any provision of the Subcontract Documents is inconsistent with a provision of this Subcontract, this Subcontract will govern. Upon request, Honeywell will make available to the Subcontractor, prior to execution of the Subcontract, copies of the Subcontract Documents to which the Subcontractor will be bound. Where any provision of the documents is inconsistent with a provision of this Subcontract, this Subcontract will govern. Nothing in the Subcontract Documents will be construed to create a contractual relationship between persons or entities other than Honeywell and Subcontractor.

Subcontract Documents. The term “Subcontract Documents” shall include, without limitation, (i) the MSA and all attachments identified in the MSA, (ii) the WO and all attachments identified in the WO, (iii) the Prime Contract Documents applicable to a specific Project, and (iv) all modifications and change orders issued after execution of the Agreement. The “Prime Contract Documents” as used in this paragraph are defined to mean and include the Prime Contract between the Owner and Contractor for a specific Project, including, but not limited to, all drawings and specifications, general and special or supplementary conditions and all other documents or attachments incorporated in the Prime Contract. Upon Subcontractor’s request, Contractor shall make copies of the Prime Contract Documents available for review and reproduction, however, Contractor reserves the right to redact confidential, financial and trade secret information from the Prime Contract Documents made available to Subcontractor. The terms and conditions of any of Subcontractor proposals or quote submitted for a specific Project shall not in any way modify, amend, add or subtract from the terms and conditions contained in this MSA.
Subcontract Documents. The Subcontract Documents consist of (1) this Agreement; (2) the “Contract Documents,” which refers to the Prime Contract and the documents that comprise the Prime Contract including, but not limited to, all plans, specifications, special provisions, general and special conditions, general requirements, technical requirements, and drawings and any and all amendments thereto, including modifications issued subsequent to the execution of this Agreement; and (3) other documents listed below in Exhibit C. These form this Agreement and are as fully a part of this Agreement as if attached to this Agreement or repeated herein. This Agreement represents the entire and integrated agreement between the parties hereto and supersedes prior negotiations, representations, or agreements, either written or oral. CS Energy shall make available the Subcontract Documents to the Subcontractor prior to execution of this Agreement, and thereafter, upon request, but CS Energy may charge the Subcontractor for the reasonable cost of reproduction. The terms and provisions of this Agreement are in addition to, and not in substitution for, any of the terms and provisions of the Prime Contract as it relates to the Work. Subcontractor is bound by the Contract Documents. If there is any conflict between any terms of this Agreement bearing on the technical requirements, specifications, plans, etc. applicable to a determination of the conformity or acceptability of Subcontractor’s work, the Contract Documents shall control. Where this Agreement imposes more stringent requirements or supplemental requirements as to other matters, this Agreement shall control. Subcontractor’s Work will not comply with this Agreement if Subcontractor’s Work will result in a violation by CS Energy of its Prime Contract with the Project Owner.
